Dmitry Druzhinsky Highlights Long-Term Tennis Development at MatchPoint NYC Following 2026 US Open

After the 2026 US Open, MatchPoint NYC co-founder Dmitry Druzhinsky highlighted the center's continued investment in tennis training infrastructure and long-term athlete development, focusing on developing young players within its own training system

NEW YORK, Sept. 15, 2026 /PRNewswire/ -- This year's US Open offered a timely example of what sustained development can produce. Elena Rybakina defeated Aryna Sabalenka in the women's final to claim her first US Open title and third Grand Slam championship. Her victory followed a season that required managing competition, physical preparation, and recovery at the highest level.

For Dmitry Druzhinsky, major results in tennis begin long before an athlete reaches a Grand Slam court. MatchPoint NYC's strategy focuses on creating a structured environment where young players can progressively develop technical skills, physical conditioning, and competitive experience.

"Champions are not created during a single tournament," said Dmitry Druzhinsky. "What we see at the US Open is the result of years of preparation. Our responsibility is to build the training infrastructure and development system that gives young athletes the opportunity to make that journey."

The approach places long-term athlete development ahead of an exclusive focus on immediate junior results. MatchPoint NYC is working to strengthen its own athlete pipeline, giving developing tennis players the opportunity to progress through increasingly demanding stages of preparation.

Investment in training infrastructure is central to that strategy. Courts, conditioning resources, and athlete-development programs provide the foundation for consistent training and allow coaches to support players as their needs change.

The Los Angeles 2028 Olympic Games provide an important upcoming benchmark. LA28 is not the reason for MatchPoint NYC's long-term investment in athletes and training infrastructure, but it offers a major stage to test development strategies across American sports.

With Olympic preparation underway, Dmitry Druzhinsky sees the coming period as an opportunity to continue developing MatchPoint NYC's own tennis talent and evaluate how sustained investment in long-term athlete development and training infrastructure can translate into future competitive achievements — and, ultimately, the champions of tomorrow.

LINDBLAD EXPEDITIONS HOLDINGS, INC. EXPANDS PORTFOLIO WITH THE ACQUISITION OF WHITE DESERT ANTARCTICA AND ECHO CHARLIE TO CREATE A LEADING FORCE IN EXPERIENTIAL TRAVEL

This acquisition unlocks an extraordinary new era of exploration across air, land and sea

NEW YORK, Sept. 15, 2026 /PRNewswire/ -- Lindblad Expeditions Holdings, Inc. (NASDAQ: LIND), a global adventure travel company offering immersive, educational expeditions to over 100 destinations across all seven continents, today announced it has acquired a majority ownership of White Desert, the pioneering luxury Antarctic company and Echo Charlie, a new aviation travel brand providing specialized access to unique destinations worldwide.

Established in 2005 by record-breaking polar explorer, Patrick Woodhead, White Desert flies clients into the remote interior of Antarctica, blending logistical precision with a level of comfort previously unheard of on the ice. Billed as the ultimate bucket-list adventure, their itineraries include a journey to the Geographic South Pole and a visit to an Emperor penguin colony of over 20,000 birds.

"While this is the largest transaction in the history of the company, it is much more than a business deal—it is a powerful partnership between two businesses that have spent decades pushing the boundaries of what experiential travel can be," said Natalya Leahy, Chief Executive Officer of Lindblad Expeditions Holdings, Inc.

This strategic acquisition marks the beginning of an exciting new chapter in Antarctic travel. Leveraging their shared expertise, Lindblad Expeditions and White Desert see significant opportunities to expand White Desert's extraordinary offering—with the development of camps and guest experiences and bolstering their logistical capabilities.

"Having spent the last 20 years pioneering tourism in the interior, we are privileged to join forces with people who did exactly the same thing, only 40 years earlier on the coastline of Antarctica. With a shared ethos for small-scale, responsible travel, we are thrilled for what lies ahead," said Patrick Woodhead, Founder and Chairman of White Desert.

Through their global platform and expertise, Lindblad Expeditions will also support the development and growth of a brand-new offering - Echo Charlie. Inspired by the golden age of aviation aboard a fully restored DC-3 (an aircraft that can land on remote airstrips without the hassle of commercial airports), this new offering fuses real life adventure with the seamless connection of highly diverse landscapes.

"Taking our aviation expertise beyond Antarctica, Echo Charlie's collection of itineraries explores the far reaches of the globe, from Colombia to Patagonia, the Faroe Islands to Greenland. This is genuine adventure, made safe and accessible—the only question is where we go next," said Woodhead.

"Echo Charlie delivers on what most of us only read about in childhood stories—flying to hidden places, uncovering the secrets of ancient cultures, and experiencing the breathtakingly diverse landscapes," said Leahy. "By combining Patrick's aviation expertise with our global platform and deep shared spirit of innovation, we are about to enter a new chapter entirely—more awe-inspiring experiences to more guests in more places on this planet."

Patrick Woodhead will serve as Chairman of White Desert and CEO of Echo Charlie, while also joining Lindblad Expeditions as Strategic Innovation Advisor. His expertise in aviation and exploration will help inform future innovation, responsible growth and new guest experiences across the Lindblad portfolio.

Like other companies that have joined the Lindblad family, White Desert and Echo Charlie will continue to operate as a stand-alone offering, preserving their founder-led vision and distinctive culture, while benefiting from the reach, capabilities and resources of Lindblad Expeditions.

"Over the last decade, our ambition has been to build a global platform of exceptional experiential travel brands, fueled by expertise, passion and innovation, and led by iconic founders," said Mark Ein, Co-Chair of the Board. "The acquisition of White Desert and Echo Charlie now adds an extraordinary set of pinnacle journeys to our guests".

Transaction Details

Lindblad Expeditions acquired a majority stake of 60% in White Desert and Echo Charlie for an aggregate cash purchase price of approximately $61 million, plus approximately $6 million for cash on the balance sheet and subject to customary true-up adjustments for working capital, cash and indebtedness. This investment advances Lindblad Expeditions' strategy of building a diversified portfolio of differentiated adventure travel experiences. Baird served as exclusive financial advisor to White Desert and Echo Charlie in the transaction.

Updated Guidance

Lindblad Expeditions also raises its full-year 2026 revenue, net yield, and Adjusted EBITDA guidance to reflect the acquisitions of White Desert and Echo Charlie, as well as continued strong performance across the business.

"Our updated guidance reflects both an exciting new chapter for our company with the addition of White Desert and Echo Charlie to our global platform of experiential travel brands and, importantly, the continued strong momentum of our underlying business as well as the strength of our business model," said Natalya Leahy, Chief Executive Officer of Lindblad Expeditions.

The Company's current expectations for the full year 2026 are as follows:

- Tour revenues of $850 - $880 million

- Net Yield per Available Guest Night of 5.5% - 6.5%

- Adjusted EBITDA of $140 - $148 million

Northern Virginia homeowners urged to prepare plumbing and HVAC systems

Experts at Cardinal Plumbing Heating & Air provide fall checklist to be ready for winter weather and help avoid costly and untimely repairs

STERLING, Va., Sept. 15, 2026 /PRNewswire/ -- As fall temperatures begin to drop, Cardinal Plumbing Heating & Air, a trusted home service provider based in Northern Virginia, reminds homeowners that a few simple seasonal maintenance steps can help prevent expensive winter emergencies, including frozen pipes, burst outdoor spigots, heating failures and poor indoor air quality.

"Fall is the ideal window because homeowners still have time to act before freezing weather puts stress on pipes, outdoor faucets and heating equipment," said Daniel Fuentes, co-founder of Cardinal Plumbing Heating & Air. "In our area, one cold snap can expose weak spots fast. Disconnecting hoses, insulating vulnerable pipes and scheduling service early can help families avoid emergency calls when winter weather hits."

Fuentes advises homeowners to start with these recommendations:

- Disconnect garden hoses and drain exterior spigots. Leaving a hose attached traps water inside the faucet, which may lead to a burst indoor pipe.

- Replace HVAC air filters. Clogged filters restrict airflow and can cause furnaces to overheat in addition to increasing energy consumption.

- Clear leaves and debris from around outdoor HVAC units. Leaves and other debris can impact the performance of outdoor units. Maintain a minimum two-foot clearance to promote airflow and reduce strain on HVAC components.

- Insulate exposed pipes in basements, crawlspaces, attics and garages. To prevent frozen and burst pipes in unheated indoor spaces, install foam pipe insulation tubes around clean pipes.

- Schedule professional HVAC maintenance. A licensed HVAC technician can perform a seasonal furnace inspection of the entire system, including checking safety controls, electrical components, moving parts and carbon monoxide-related concerns.

"Taking action in fall can also help homeowners avoid scheduling delays," said Fuentes. "Once freezing weather arrives, service calls often increase as homeowners discover no-heat issues, frozen outdoor lines or equipment that has not been maintained since the previous winter."

Cardinal Plumbing Heating & Air is offering $49 heating system tune-ups (including carbon monoxide safety check) throughout the month of September, helping Northern Virginia homeowners take proactive maintenance steps before cold weather arrives.

Axon Announces Proposed Offering of $1.0 Billion of 0% Convertible Senior Notes
Image File
Original HTML

SCOTTSDALE, Ariz., Sept. 15, 2026 /PRNewswire/ -- Axon Enterprise, Inc. (Nasdaq: AXON) ("Axon") announced today that it intends to offer, subject to market and other conditions, $1.0 billion aggregate principal amount of 0% convertible senior notes due 2031 (the "Notes") in a public offering registered under the Securities Act of 1933, as amended (the "Act"). Axon also expects to grant the underwriters of the Notes an option to purchase for settlement within an 11-day period beginning on, and including, the first date on which the Notes are issued, up to an additional $150.0 million aggregate principal amount of Notes, solely to cover over-allotments, if any.

Goldman Sachs & Co. LLC, Morgan Stanley & Co. LLC, J.P. Morgan Securities LLC, RBC Capital Markets, LLC and Citigroup Global Markets Inc. are acting as joint lead book-running managers for the offering.

Use of Proceeds

Axon intends to use a portion of the net proceeds of the offering of the Notes to pay the cost of the capped call transactions described below. Axon expects to use the remaining net proceeds for general corporate purposes, which may include, among other things, providing capital to support Axon's growth and to acquire or invest in product lines, products, services or technologies, including through acquisitions of, or investments in, other businesses.

Additional Details of the Notes

The Notes will mature on September 15, 2031, unless earlier converted, redeemed or repurchased. The Notes will be senior, unsecured obligations of Axon and will not bear regular interest, and the principal amount of the Notes will not accrete.

Noteholders will have the right to convert their Notes in certain circumstances and during specified periods. Upon conversion, Axon will pay or deliver, as the case may be, cash, shares of Axon's common stock or a combination of cash and shares of Axon's common stock, at Axon's election. The initial conversion rate and other terms of the Notes are to be determined upon pricing of the offering.

If Axon undergoes certain corporate events that constitute a "fundamental change," then, subject to certain conditions and limited exceptions, holders may require Axon to repurchase for cash all or any portion of their Notes at a fundamental change repurchase price equal to 100% of the principal amount of the Notes to be repurchased, plus accrued and unpaid special interest, if any, to, but excluding, the fundamental change repurchase date.

In addition, subject to certain conditions, noteholders may require Axon to repurchase their Notes on March 20, 2031 at a repurchase price equal to the principal amount of the Notes to be repurchased, plus accrued and unpaid special interest, if any (a "holder repurchase option"). Axon may elect to satisfy all or a portion of its obligation with respect to the principal amount of the repurchase price for the holder repurchase option by issuing or delivering shares of Axon's common stock in certain circumstances, up to a specified maximum number of shares, with the remainder (if any) of the repurchase price payable in cash, subject to and in accordance with the terms and conditions set forth in the indenture governing the Notes.

Except in the case of a cleanup redemption (as defined below), on or after September 20, 2029, and before the 31st scheduled trading day immediately before the maturity date, Axon may redeem for cash all or any portion of the Notes (subject to certain limitations), at Axon's option, if the last reported sale price of Axon's common stock has been at least 130% of the conversion price then in effect for at least 20 trading days (whether or not consecutive) during any 30 consecutive trading day period (including the last trading day of such period) ending on, and including, the trading day immediately preceding the date on which Axon provides notice of redemption, at a redemption price equal to 100% of the principal amount of the Notes to be redeemed, plus accrued and unpaid special interest, if any, to, but excluding, the redemption date. Axon may also redeem for cash all, but not less than all, of the Notes at any time if the principal amount of Notes outstanding at such time is less than 10% of the aggregate principal amount of the Notes initially issued under the indenture (including any additional Notes issued pursuant to the underwriters' over-allotment option) (a "cleanup redemption").

Capped Call Transactions

In connection with the pricing of the Notes, Axon expects to enter into privately negotiated capped call transactions with one or more of the underwriters and/or their respective affiliates and/or other financial institutions (the "option counterparties"). The capped call transactions will cover, subject to anti-dilution adjustments substantially similar to those applicable to the Notes, the number of shares of Axon's common stock initially underlying the Notes. If the underwriters exercise their over-allotment option, then Axon expects to enter into additional capped call transactions with the option counterparties. The capped call transactions are expected generally to reduce the potential dilution to Axon's common stock upon any conversion of the Notes and/or offset any potential cash payments Axon is required to make in excess of the principal amount of converted Notes, as the case may be, with such reduction and/or offset subject to a cap. The cap price of the capped call transactions and the premium payable will be determined at the time of pricing of the offering.

Axon has been advised that, in connection with establishing their initial hedges of the capped call transactions, the option counterparties or their respective affiliates expect to enter into cash-settled over-the-counter derivative transactions with respect to Axon's common stock concurrently with, or shortly after, the pricing of the Notes and may unwind these cash-settled over-the-counter derivative transactions and purchase shares of Axon's common stock in open market transactions following the pricing of the Notes. This activity could increase (or reduce the size of any decrease in) the market price of Axon's common stock or the Notes at that time. In addition, the option counterparties or their respective affiliates may modify their hedge positions by entering into or unwinding various derivatives with respect to Axon's common stock and/or purchasing or selling shares of Axon's common stock or other securities issued by Axon in secondary market transactions following the pricing of the Notes and prior to the maturity of the Notes (and (x) are likely to do so during any observation period related to a conversion of the Notes, following any redemption of Notes by Axon or following any repurchase of Notes by Axon in connection with any fundamental change or holder repurchase option and (y) are likely to do so following any other repurchase of Notes by Axon, if Axon elects to unwind a corresponding portion of the capped call transactions in connection with such repurchase). This activity could also cause or avoid an increase or a decrease in the market price of Axon's common stock or the Notes, which could affect a noteholder's ability to convert the Notes and, to the extent the activity occurs during any observation period related to a conversion of the Notes or repurchase observation period related to an exercise of the holder repurchase option, it could affect the number of shares of Axon's common stock and value of the consideration that a noteholder will receive upon conversion or optional repurchase of the Notes.

In addition, if any such capped call transaction fails to become effective, whether or not the offering of the Notes is completed, the option counterparty party thereto may unwind its hedge positions with respect to Axon's common stock, which could adversely affect the value of Axon's common stock and, if the Notes have been issued, the value of the Notes.

DALLAS, Sept. 15, 2026 /PRNewswire/ -- Nanoscope Therapeutics, Inc., a biotechnology company committed to developing and commercializing novel, disease-agnostic therapies for patients with photoreceptor loss and vision impairment due to retinal degeneration, today announced that Dr. Christine Kay, Director of Clinical Research and Retinal Genetics, Vitreoretinal Associates in Gainesville, will present 4-year data from Nanoscope's MCO-010 retinitis pigmentosa program at the 59th Annual Scientific Meeting of the Retina Society, taking place September 23-26, 2026, in Los Angeles, California.

Presentation Details:

Presentation Title: Lasting Vision Improvement With MCO-010 Optogenetic Therapy: REMAIN 4-Year Study Data From the RESTORE Phase 2b/3 Trial for Retinitis Pigmentosa

Presenter: Christine Kay, MD

Date & Time: Wednesday, September 23, 2026, 3:15 PM PT

Location: Fairmont Century Plaza Hotel, Los Angeles, California

Dr. Kay will present expanded long-term durability of patient benefit in patients treated with MCO-010 (sonpiretigene isteparvovec, MOGENRY®). These data demonstrate that MOGENRY®-dosed patients continue to maintain visual acuity gains long after treatment. MOGENRY® is the only program to demonstrate sustained restoration of visual acuity with long-term durability, and the BLA for MOGENRY® has been accepted and filed by the FDA.

About MOGENRY® (sonpiretigene isteparvovec; MCO-010)

Nanoscope's multi-characteristic opsin (MCO) technology utilizes a proprietary genetically engineered synthetic opsin to enable optimized performance in terms of high light sensitivity across a broad spectrum and fast kinetics. After Nanoscope's Co-Founder, President, and Chief Scientific Officer, Samarendra Mohanty, envisioned and invented the technology, his team has spent over a decade evaluating its performance across multiple animal models and human diseases. MOGENRY® is an investigational, one-time, in-office, intravitreal optogenetic gene therapy built on Nanoscope's MCO platform. By delivering a multi-characteristic opsin gene to the highly dense bipolar retinal cells, MOGENRY® makes these surviving cells directly light-sensitive, enabling them to utilize the remaining visual circuitry following photoreceptor loss. MOGENRY® does not require genetic testing, invasive surgery, or repeat dosing, and is designed for administration within existing retina office workflows.

About Nanoscope Therapeutics

Nanoscope Therapeutics is developing disease-agnostic, vision-restoring optogenetic therapy for millions of patients blinded by retinal degenerative diseases. Following positive results from the RESTORE Phase 2b/3 multicenter, randomized, double-masked, sham-controlled clinical trial for RP (NCT04945772), the FDA has accepted and filed the Company's BLA for MOGENRY®. If approved, MOGENRY® has the potential to become the standard of care for patients with RP, administered as a one-time, in-office injection without the need for genetic testing. The Company has also shown promising results in the STARLIGHT Phase 2 clinical trial of MCO-010 in Stargardt disease (SD) (NCT05417126) and plans to initiate a Phase 3 registrational trial in 2026. MCO-010 has received FDA Fast Track and Orphan Drug designations for both RP and SD, along with RMAT designation for SD, and EMA Orphan designations covering non-syndromic and syndromic rod- and cone-dominant dystrophies, as well as macular dystrophies. MCO-010 has also received Sakigake and Orphan designations for inherited retinal dystrophies (IRDs) in Japan and an Orphan designation for IRDs in Saudi Arabia. A Phase 2 program for MCO in geographic atrophy is expected to start in 2026, and other IND-ready programs include Leber congenital amaurosis (LCA).

DISA Uranium Expands Uranium Remediation Recycling and Conventional Resource Base Through Strategic Transaction with Premier American Uranium
Image File
Original HTML

The Transaction expands DISA Uranium's abandoned uranium mine and conventional uranium portfolio in the western United States and represents the next step in the Company's strategy to consolidate domestic uranium assets around its differentiated recycling, recovery and processing platform.

CASPER, Wyo., Sept. 15, 2026 /PRNewswire/ -- DISA Uranium™ Corporation ("DISA Uranium" or the "Company"), an American company built to recover and produce domestic uranium and remediate the nation's legacy uranium sites, today announced that it has entered into an asset purchase agreement (the "Agreement") with Premier American Uranium Inc. ("PUR") (TSXV: PUR) (OTCQB: PAUIF) to acquire a portfolio of uranium projects in Colorado (the "Colorado Portfolio").

DISA Uranium will also make a US$5,000,000 strategic equity investment ("Equity Investment") in subscription receipts of PUR ("Subscription Receipts") at a price of C$0.75 per Subscription Receipt (the "Offering Price") and will have the right to nominate one director to PUR's board of directors ("Board") upon closing (collectively, the "Transaction").

PUR is a U.S.-focused uranium exploration and development company with a diversified portfolio spanning five established uranium districts across the western United States. The Transaction establishes a strategic relationship between the companies and supports potential future collaboration across PUR's broader portfolio.

The Transaction represents the next step in DISA Uranium's strategy to consolidate complementary U.S. uranium assets and abandoned uranium mine ("AUM") waste using its proprietary High-Pressure Slurry Ablation technology ("HPSA™").

DISA Uranium holds the only U.S. Nuclear Regulatory Commission license authorizing the remediation and recovery of abandoned uranium mine waste across multiple sites. The Colorado Portfolio complements the Company's conventional uranium assets in Utah, acquired from IsoEnergy Ltd. (see news release dated August 4, 2026), further expanding its potential uranium feedstock base and supporting its plans to develop new domestic uranium recovery and processing capacity.

Greyson Buckingham, Chief Executive Officer of DISA Uranium, commented, "We are excited to add another portfolio of AUM and exploration uranium assets to DISA Uranium's growing U.S. resource base. The Colorado Portfolio builds on the foundation established through our recent transaction with IsoEnergy and represents another step in our strategy to consolidate domestic uranium resources around our differentiated technology and future processing capabilities. Together, our AUM and conventional resource base provide multiple potential sources of uranium feedstock as we work to build a more secure domestic uranium supply chain. Our strategic equity investment and Board representation also establish a strong foundation for an ongoing partnership with PUR as we explore opportunities to collaborate across its broader U.S. portfolio."

Colin Healey, Chief Executive Officer of Premier American Uranium, commented, "We are excited to welcome DISA Uranium as a major strategic shareholder of PUR and look forward to welcoming Greyson Buckingham to our Board upon closing of the Transaction. This relationship extends beyond the sale of our non-core Colorado assets. We see meaningful opportunities to collaborate across our broader U.S. portfolio, including evaluating the potential application of DISA Uranium's HPSA™ technology and future regional processing infrastructure. DISA Uranium's investment strengthens our alignment while providing additional capital to advance PUR's core projects."

The Transaction: Expanding DISA Uranium's Resource Base

DISA Uranium has agreed to acquire PUR's Colorado portfolio of exploration and past-producing uranium assets in the historic Uravan Mineral Belt, comprising the Outlaw Mesa, Atkinson Mesa, Monogram Mesa and Slick Rock projects. The Colorado Portfolio encompasses approximately 20,000 acres across one of the most prolific uranium-vanadium producing districts in the United States and includes eight U.S. Department of Energy uranium and vanadium leases and 545 patented and unpatented lode mining claims, together with associated geological data, historical mine workings and infrastructure.

The portfolio also contains significant abandoned uranium mine waste, with an estimate of approximately 2 million tons of AUM material identified across the properties, providing a potential opportunity for DISA Uranium to apply its differentiated remediation and recovery capabilities alongside the conventional exploration and development potential of the assets. The DOE leases contain approximately 2.7 million pounds of historical uranium resources reported by the DOE and its predecessor agencies.1

The properties are located in the heart of Colorado's Uravan Mineral Belt, a district that has produced nearly 80 million pounds of U₃O₈ and more than 400 million pounds of V2O5 since 1945.

The Transaction expands DISA Uranium's AUM and conventional uranium footprint in the western United States and complements the Company's Utah portfolio acquired from IsoEnergy, which includes the Tony M, Daneros and Rim mines and the Sage Plain and Flatiron projects. Together, the Utah and Colorado assets establish a growing portfolio of conventional uranium assets and potential remediation feedstock across established U.S. uranium districts.

Beyond the Colorado Portfolio acquisition, DISA Uranium's strategic Equity Investment in PUR creates long-term alignment between the companies and provides a platform to pursue additional opportunities across PUR's U.S. uranium portfolio, including the potential application of HPSA™ to support future regional processing capacity.

Transaction Terms

Under the Agreement, DISA Uranium has agreed to acquire the Colorado Portfolio from PUR in consideration for:

- the issuance to PUR of US$2,000,000 worth of equity consisting of 25,413 common shares of DISA Uranium ("DISA Uranium Shares") on closing of the Transaction; and

- the issuance to PUR of warrants exercisable to acquire 25,413 DISA Uranium Shares at a price of US$118.05 per share, subject to the satisfaction of certain vesting conditions.

Completion of the Transaction is subject to satisfaction of customary closing conditions as set forth in the Agreement, including, among other things, receipt of applicable regulatory approvals including the approval of the Department of Energy and completion of the Equity Investment, including the conversion of the Subscription Receipts in accordance with the terms thereof.

In connection with the Transaction, DISA Uranium will make a strategic equity investment in PUR, resulting in an approximately 8.7% ownership interest and providing additional capital to advance PUR's core portfolio. Subject to maintaining a specified ownership threshold, DISA Uranium will receive customary participation rights. Upon completion of the Transaction, Greyson Buckingham, Chief Executive Officer of DISA Uranium, will join PUR's Board of Directors.

Pursuant to the Equity Investment, DISA Uranium has agreed to acquire Subscription Receipts for aggregate proceeds of US$5,000,000. Each Subscription Receipt will entitle the holder thereof to automatically receive, upon satisfaction or waiver, as applicable, of certain escrow release conditions (the "Escrow Release Conditions"), one common share of PUR (a "PUR Share").

The Escrow Release Conditions include the satisfaction of all conditions precedent to the completion of the Transaction. The proceeds of the Equity Investment will be held in escrow and not released to PUR until the Escrow Release Conditions are satisfied or waived, as applicable. If the Escrow Release Conditions have not been satisfied or waived, as applicable, on or prior June 13, 2027, the aggregate Offering Price of the Subscription Receipts (plus any interest earned thereon) will be returned to DISA Uranium, and such Subscription Receipts will be automatically cancelled and be of no further force and effect.

About DISA Uranium

DISA Uranium™ Corporation (DISA Uranium) is redefining American uranium recovery and production. Headquartered in Casper, Wyoming, the veteran-led Company recovers uranium and vanadium from abandoned uranium mine (AUM) waste, remediates legacy sites left across the western United States, and applies its patented high-pressure slurry ablation technology (HPSA™) to make conventional uranium production cleaner, more efficient, and more economic. DISA Uranium holds the only U.S. Nuclear Regulatory Commission (NRC) license to treat and recover AUM waste across multiple sites — and with a growing conventional resource base behind it, the Company is building the domestic capacity to turn American waste and American ore into American fuel. Our mission is simple: restore the past while powering the future and rebuild a secure domestic uranium supply chain.

About Premier American Uranium

Premier American Uranium is focused on consolidating, exploring, and developing uranium projects across the United States to strengthen domestic energy security and advance the transition to clean energy. The Company's extensive land position spans five of the nation's top uranium districts, with active work programs underway in New Mexico's Grants Mineral Belt and Wyoming's Great Divide and Powder River Basins.

Backed by strategic partners including Sachem Cove Partners, IsoEnergy Ltd., Mega Uranium Ltd., and other leading institutional investors, PUR is advancing a portfolio supported by defined resources and high-priority exploration and development targets. Led by a distinguished team with deep expertise in uranium exploration, development, permitting, operations, and uranium-focused M&A, the Company is well positioned as a key player in advancing the U.S. uranium sector.

Smarter grids can save Europe €10 billion in grid investment

ATHENS, Greece, Sept. 15, 2026 /PRNewswire/ -- Europe could save €10 billion in electricity grid investment by making smarter use of existing grid capacity as electric vehicle uptake grows. A new study commissioned by EIT Urban Mobility, ChargeUp Europe and ACEA, and carried out by Siemens, finds that around €24.7 billion in electricity distribution grid investment would be required by 2030 to accommodate projected electric vehicle (EV) growth. Deploying intelligent EV Load Management could reduce this investment need to around €14 billion.

The study, Electricity Grids in Europe, assesses how the electrification of passenger cars and light duty vehicles will affect electricity distribution grids across the EU27 and three EEA countries, based on detailed modelling of 64 representative European cities.

The study highlights the role of EV Load Management, the intelligent coordination of when and how quickly electric vehicles charge to avoid overloading the grid during periods of peak electricity demand. Combined with grid digitalisation, smart charging enables electricity networks to make better use of existing capacity, reducing reinforcement needs while supporting the reliable integration of millions of electric vehicles.

Electric vehicle adoption is expected to accelerate rapidly over the coming years.

Charging behaviour is as important as vehicle uptake. By modelling residential, workplace, public, en route and depot charging separately, the study shows that where and when vehicles charge fundamentally shapes local grid demand and future investment needs. Around 55–62% of EV owners in the representative cities are expected to have access to residential charging by 2030, underscoring the growing importance of low voltage distribution grids in Europe's electrification.

Among its key findings, the study also concludes that:

- EV growth will put every European city under grid pressure, BEV numbers are projected to grow 3.8× by 2030, and all 64 cities analysed require grid reinforcement to accommodate this growth

- The biggest pressure is on the low voltage grid: 77.7% of physical grid reinforcement investment is needed at low voltage, driven largely by residential EV charging

- Without load management, the study estimates €24.7B in grid investment. With load management, this falls to €14.1B, avoiding €10.6B in investment.
