Toronto, September 23, 2026 – Highlander Silver Corp. (TSX, NYSE American: HSLV) (“Highlander Silver” or the “Company”) is pleased to announce that it has executed a mandate letter with Natixis Corporate & Investment Banking (“Natixis CIB”) to lead a fully underwritten 7-year senior secured structured project finance facility of $330 million (the “Facility”) to fund the development and construction of the Corani Silver Project in Peru. The financing will be supported by a cost overrun facility of up to $100 million to be established prior to first draw and provided by the Company; final facility amounts will be subject to due diligence. As of June 30, the Company reported a cash balance of approximately $100 million and no debt.

Natixis CIB brings deep expertise in structuring project financing for large-scale mining developments, reinforcing the Corani Silver Project as a globally recognized, bankable asset. The execution of this mandate letter represents a major milestone in advancing towards a fully funded construction package.

Daniel Earle, President & CEO of Highlander Silver, commented:

“Highlander Silver is delighted to partner with Natixis CIB, which is widely regarded as one of the world’s leading project finance institutions, with a distinguished track record of financing successful development projects. The Facility represents a strong endorsement of the Corani Silver Project, providing high-quality capital that follows a rigorous multidisciplinary due diligence process across key technical, financial, environmental and social aspects of the project that set it apart from recent peer financings in the high-yield and convertible debt markets. Importantly, Highlander Silver has retained 100% of the offtake rights to the project to preserve optionality and maximize future value amidst an intensifying global competition for clean concentrates.”

The Facility is subject to completion of definitive documentation, which will include customary project finance terms, fees and conditions, credit approvals, and the completion of ongoing detailed technical, financial, environmental and social due diligence. Closing is expected in the first quarter of 2027.

EAGAN, Minn., May 5, 2026 /PRNewswire/ -- Solventum (NYSE: SOLV) today reported financial results for the first quarter ended March 31, 2026.

First Quarter 2026 Highlights

- Sales of $2.0 billion decreased (3.0)% on a reported basis; an increase of 2.1% on an organic basis

Discussion of First Quarter Results

All comparisons are to the prior year period unless otherwise noted

- Organic sales growth of +2.1% in the quarter reflects strong performance across all reportable segments, primarily driven by volume and product mix.

- GAAP and adjusted gross margin both increased by 80 bps due to programmatic savings, portfolio moves, sales leverage and mix, partially offset by tariffs and inflation headwinds.

- Selling, general and administrative expenses increased primarily due to higher costs associated with separation activities and Transform for the Future, partially offset by restructuring benefits.

- GAAP operating income margin decreased driven by separation and restructuring costs while adjusted operating income margin decreased primarily due to tariffs and inflation, partially offset by operational improvements.

- Operating cash flow for the quarter was $(189) million and free cash flow was $(273) million, driven by separation activities, transition agreement exit payments and normal seasonality.

Other Business and Operational Highlights

- Celebrated the grand opening of a new 250,000 square foot flagship R&D center of excellence in Eagan, Minnesota, featuring modern workspaces, a pilot factory and a dedicated quality lab to fuel a steady pipeline of healthcare innovation.

- Completed a manufacturing expansion in Brookings, South Dakota, adding 200,000 square feet, 16 shipping docks and an 8,000-pallet warehouse to strengthen production capacity and speed innovations from lab to clinicians.

Full-Year 2026 Guidance

Solventum is affirming its full year 2026 guidance:

- Organic sales growth of +2.0% to +3.0%; +3.0% to +4.0% excluding ~100 bps of SKU exit impact

- Adjusted EPS estimated to be toward the high end of existing $6.40 to $6.60 guidance range

- Free cash flow of ~$200M

Organic sales, adjusted diluted EPS and free cash flow amounts included in Solventum's full-year guidance are non-GAAP financial measures. Solventum does not provide reconciliations of the forward-looking non-GAAP financial measures to the respective GAAP metrics as it is unable to predict with reasonable certainty and without unreasonable effort certain items, such as the impact of changes in currency exchange rates, impacts associated with business acquisitions or divestitures, and the timing and magnitude of restructuring activities, among other items.

See the "Non-GAAP Financial Measures" section for explanations of our non-GAAP financial measures.

Forward-Looking Statements

This press release contains forward-looking statements within the meaning of the Private Securities Litigation Reform Act of 1995, Section 27A of the Securities Act of 1933, and Section 21E of the Securities Exchange Act of 1934 that are subject to risks and uncertainties. Solventum intends the forward-looking statements to be covered by the safe harbor provisions for forward-looking statements in those sections. Forward-looking statements include all statements that are not historical facts, but instead represent only Solventum's beliefs regarding future goals, plans and expectations about its prospects for the future and other events, many of which, by their nature, are inherently uncertain and outside of Solventum's control. Forward-looking statements include those containing such words as "anticipates," "believes," "can," "continue," "could," "estimates," "expects," "forecasts," "goal," "guidance," "intends," "may," "outlook," "plans," "potential," "predicts," "projects," "seeks," "sees," "should," "targets," "will," "would" or other words of similar meaning or by using future dates in connection with the discussion of, among other things, statements expressing general views about future operating or financial results, operating or financial performance, trends, events or developments that we expect or anticipate will occur in the future, anticipated cost savings, the launch and acceptance of new products and changes in the global economic environment. It is possible that Solventum's actual results and financial condition may differ, possibly materially, from the anticipated results and financial condition indicated in these forward-looking statements, including from risks and uncertainties related to, among others: competition and disruption in the healthcare industry; global economic, political and geopolitical conditions; changes in trade and tariff policies; changes in legislation or practices related to reimbursement, regulatory requirements and approvals; the development, manufacturing, marketing and sale of healthcare products; supply chain and operational execution; acquisitions, divestitures and other strategic transactions; Solventum's separation from 3M and performance as a standalone company, including the tax-free nature of the spin and its ability to execute on its short- and long-range plans and capital allocation strategies; artificial intelligence, information technology and cybersecurity risks; restructuring programs, and other risks and uncertainties described in Solventum's filings with the U.S. Securities and Exchange Commission, including its most recent Annual Report on Form 10‑K and Quarterly Report on Form 10‑Q. Solventum's management believes that these forward-looking statements are reasonable as of the time made. However, caution should be taken not to place undue reliance on any such forward-looking statements because such statements speak only as of the date when made. Solventum undertakes no obligation to update any forward‑looking statements or other information in this press release as a result of new information, future events or otherwise, except as required by applicable law.

Non-GAAP Financial Measures

In addition to reporting financial results in accordance with U.S. GAAP, Solventum also provides non-GAAP measures that we use, and plan to continue using, when monitoring and evaluating operating performance and measuring cash available to invest in our business. The adjusted measures are not in accordance with, nor are they a substitute for, GAAP measures. These non-GAAP financial measures are supplemental measures of our performance and our liquidity that we believe help investors understand our underlying business performance and Solventum uses these measures as an indication of the strength of Solventum and its ability to generate cash.

Solventum calculates forward-looking non-GAAP financial measures, including organic sales growth, adjusted gross margin, adjusted operating income, adjusted operating income margin, adjusted effective tax rate, adjusted diluted earnings per share and free cash flow based on internal forecasts that omit certain amounts that would be included in GAAP financial measures. Solventum does not provide reconciliations of these forward-looking non-GAAP financial measures to the most directly comparable GAAP measures as it is unable to predict with reasonable certainty and without unreasonable effort certain items such as the impact of changes in currency exchange rates, impacts associated with business acquisitions or divestitures, and the timing and magnitude of restructuring activities, among other items. The timing and amounts of these items are uncertain and could have a material impact on Solventum's results in accordance with GAAP.

Solventum Foundation and America's ToothFairy Launch National Effort to Expand Access to Preventive Dental Care

- Expands access to much needed dental care for underserved communities

- Supports safety-net dental clinics, increased screenings and preventive services and broader distribution of educational materials for children and families

- Advances meaningful societal impact through Solventum Foundation philanthropy aligned to the company's core focus areas

EAGAN, Minn., May 14, 2026 /PRNewswire/ -- The Solventum Foundation today announced a $350,000 grant to America's ToothFairy to expand access to oral health screenings, dental education and fluoride treatment for more than 100,000 children and caregivers in underserved communities over the next year.

In addition to the Foundation's grant, Solventum's dental business will donate 60,000 applications of 3M™ Clinpro™ Clear Fluoride Treatment to support the initiative. Together, these contributions underscore Solventum's commitment to enabling better, smarter, safer healthcare to improve lives by addressing critical gaps in oral health access.

"I am incredibly proud to see how the Solventum Foundation is working to improve lives and advance access to care in communities where we live and work around the world," said Bryan Hanson, chief executive officer, Solventum. "This grant will help America's ToothFairy provide essential resources so more children can build a foundation for a lifetime of healthy smiles."

This initiative addresses significant barriers that many families face in accessing dental care, including financial hardship, lack of transportation and a shortage of dental providers. The grant enables America's ToothFairy to support safety-net dental clinics and community organizations in delivering fluoride applications and oral health education in trusted settings like schools and mobile units.

Key components of the initiative include:

- Expanded access: Adding five new safety-net dental clinics to the America's ToothFairy Dental Resource Program, providing them with valuable resources to increase access to care in communities near Solventum facilities.

- Direct care grants: Awarding grants to support oral health screenings and urgent dental care for children who lack insurance coverage.

- Education: Distributing educational materials to 25,000 children and caregivers to reinforce healthy habits at home and the importance of fluoride in preventing tooth decay.

"At America's ToothFairy, we see every day how difficult it can be for families to get the dental care their children need," said Jill Malmgren, executive director of America's ToothFairy. "This generous support from the Solventum Foundation will help us reach more children with preventive care, connect more families to trusted resources and give more kids the chance to grow up healthy and pain free."

Solventum employees will also play a vital role in the initiative by hosting Smile Drives to collect essential hygiene products for families in need, volunteering to assemble oral health kits and delivering donated products to local clinics.

This is the Solventum Foundation's first large-scale grant since its formation in 2025. The Foundation intends to make additional grants across Solventum's core business areas.

Solventum Announces Intent to Separate its Health Information Systems Business

- Strengthens the focus of Solventum as a dedicated MedTech company and advances its three-phase transformation strategy

- Positions Health Information Systems, a leading, scaled, healthcare software business, to accelerate its strategic vision and growth agenda as a separate entity

- Unlocks shareholder value and enables targeted investment supporting innovation and growth across both businesses

EAGAN, Minn., Aug. 5, 2026 /PRNewswire/ -- Solventum (NYSE: SOLV) today announced its intention to pursue a separation of its Health Information Systems business as part of the company's ongoing portfolio optimization strategy. The company will evaluate a range of separation pathways with the objective of maximizing shareholder value that position both Solventum and Health Information Systems for long-term success.

The announcement represents the latest action under Solventum's broader three-phase transformation strategy and reflects the company's commitment to actively shape its portfolio to create long-term shareholder value. The Board of Directors (BOD) and management believe the separation of Health Information Systems will transform Solventum into a more dedicated MedTech company with a clear and compelling investment proposition by sharpening its focus on MedSurg and Dental Solutions, allowing the company to invest behind its highest-priority growth opportunities while accelerating innovation and commercial execution.

"We have moved with urgency to advance portfolio optimization, a core pillar of our transformation strategy," said Bryan Hanson, chief executive officer of Solventum. "Health Information Systems is a differentiated business with a strong position and significant potential. We believe separation can unlock value by enabling both businesses to pursue distinct growth agendas, accelerate innovation and realize their full potential."

Health Information Systems is a leading healthcare software business generating $1.4 billion in annual sales1, with its solutions deployed across 30+ countries and used by more than 75% of U.S. hospitals. Built on more than 40 years of medical coding expertise, Health Information Systems processes approximately 660 million clinical documents monthly and delivers mission-critical revenue cycle management, performance management and clinician productivity software through long-term contracts and deeply embedded workflows with health systems, physician practices and government payers.

Operating in a roughly $10 billion addressable market estimated to be growing 5–6% annually, Health Information Systems' proprietary rules engine, extensive data assets and AI-driven autonomous coding capabilities provide a differentiated value proposition. Solventum believes that as a separate company, Health Information Systems will gain the added strategic focus, operational agility and capital allocation flexibility needed to accelerate growth — including expanding adoption of autonomous coding, entering international markets undergoing payment system modernization and pursuing partnerships and acquisitions that reinforce its position as the trusted leader in healthcare revenue cycle technology.

Strategic Rationale

Solventum believes the separation of Health Information Systems has the potential to deliver meaningful benefits for all stakeholders, including:

- Increased strategic focus: Solventum will emerge as a dedicated MedTech company, enabling management to concentrate on advancing its MedSurg and Dental Solutions businesses and executing against its strategic priorities.

- Stronger growth profile: A more focused portfolio will position Solventum to accelerate innovation, enhance commercial execution and deliver sustainable long-term growth.

- Targeted investment and capital deployment: A streamlined portfolio will enhance Solventum's balanced capital allocation strategy, enabling it to direct investments toward opportunities with the greatest potential to drive growth, profitability and return on invested capital.

- Dedicated management focus: A separated Health Information Systems business will be led by a dedicated management team with full control over strategic direction and resource allocation, with the autonomy to shape its own destiny and respond decisively to fast-moving advances in AI and a rapidly changing industry landscape.

Transaction Process

Solventum is evaluating a range of separation alternatives and structures, either as an independent company, combined with a scaled player in the space or other transaction. The company is focused on identifying and executing the transaction structure that it believes will maximize value.

The company is targeting completion within 12 to 18 months and will provide updates as appropriate as the separation process progresses.

No decision has been made regarding the ultimate structure or timing of any potential transaction, and there can be no assurance that a separation will occur. Any transaction would be subject to customary approvals, including approval by Solventum's Board of Directors, regulatory requirements and other customary conditions.

Advisors

Morgan Stanley & Co. LLC and Goldman Sachs & Co. LLC are acting as financial advisors to Solventum and Cleary Gottlieb Steen & Hamilton LLP is acting as legal counsel.

Solventum Reports Second Quarter 2026 Financial Results

- Reported sales increased 2.2%; organic sales increased 9.5%

- Announces intent to separate its Health Information Systems business segment

- Increases full-year 2026 guidance for organic sales growth, adjusted EPS and free cash flow

EAGAN, Minn., Aug. 5, 2026 /PRNewswire/ -- Solventum (NYSE: SOLV) today reported financial results for the second quarter ended June 30, 2026.

Second Quarter 2026 Highlights

- Sales of $2.2 billion, increased 2.2% on a reported basis; an increase of 9.5% on an organic basis

- GAAP diluted earnings per share of $0.53; adjusted diluted earnings per share of $2.55, a 50.9% increase

- Operating cash flow of $227 million; free cash flow of $144 million

"The Solventum team delivered another quarter of strong execution with results ahead of our expectations while continuing to advance our transformation," said Bryan Hanson, chief executive officer of Solventum. "We remain on track to achieve our long-term objectives as we build a more focused, dedicated MedTech company, well-positioned to create long-term shareholder value."

Discussion of Second Quarter Results

All comparisons are to the prior year period unless otherwise noted

- Organic sales growth of +9.5% in the quarter reflects strong performance across all reportable segments, primarily driven by volume and product mix and including the expected benefit of advance orders placed ahead of ERP cutovers.

- GAAP and adjusted gross margin both increased, driven by IEEPA tariff refund.

- GAAP selling, general and administrative expenses increased primarily due to higher costs associated with separation activities and net legal costs. Adjusted SG&A as a percent of sales was 26.0%, a decrease of 130 bps vs. prior year.

- GAAP operating income margin decreased, primarily driven by net legal costs, separation and restructuring costs. Adjusted operating income margin increased primarily due to a combination of IEEPA tariff refund and ERP-timing benefit.

- Operating cash flow for the quarter was $227 million and free cash flow was $144 million, ahead of expectations driven by timing of tax payments and insurance proceeds.

Other Business and Operational Highlights

- Announced the intent to separate its Health Information Systems business segment as part of the portfolio optimization phase of its transformation strategy. The proposed separation is expected to strengthen Solventum's focus as a dedicated MedTech company while enabling both businesses to pursue distinct growth and innovation priorities.

- The Solventum Foundation announced a $350,000 grant to America's ToothFairy to expand access to oral health screenings, dental education and fluoride treatment for more than 100,000 children and caregivers in underserved communities over the next year.

- For the second year in a row, named a Best Company to Work For by U.S. News & World Report in the categories of 'Health Care and Research' and 'Midwest.'

Full-Year 2026 Guidance

Solventum is updating its full year 2026 guidance as follows:

- Increased organic sales growth range to +2.5% to +3.0% (+3.5% to +4.0% excluding ~100 bps of SKU exit impact); from prior range of +2.0% to +3.0%

- Increased adjusted EPS range to $7.10 to $7.20; from the upper end of prior range of $6.40 to $6.60

- Increased free cash flow to be in the range of $200 million to $300 million; from prior estimate of ~$200M
