PNR Shareholder Alert: Investors With Losses May Seek to Lead the Class Action in Pentair plc Securities Lawsuit - Contact Levi & Korsinsky

Original HTML

Allegations focus on the personal accountability of Pentair's Chief Executive Officer and former Chief Financial Officer, following the alleged omission of significant Pool channel destocking before PNR shares fell $11.35 in a single session.

NEW YORK, Sept. 9, 2026 /PRNewswire/ -- Levi & Korsinsky, LLP alerts investors in Pentair plc (NYSE: PNR) that a securities class action has been filed naming Chief Executive Officer John L. Stauch and former Chief Financial Officer Nicholas J. Brazis as individual defendants, on behalf of shareholders who purchased securities between April 28, 2026 and July 14, 2026. Find out if you are eligible to recover losses. You may also contact Joseph E. Levi, Esq. at [email protected] or (212) 363-7500.

PNR closed at a Class Period high of $82.86 on April 28, 2026. Following the July 14, 2026 after-hours announcement, shares closed $64.33 on unusually heavy volume. The window to apply for lead plaintiff closes on October 2, 2026.

The Named Individual Defendants

Stauch served as Chief Executive Officer throughout the Class Period. Brazis served as Chief Financial Officer until his departure on July 10, 2026, disclosed four days later alongside the revised guidance. The complaint charges that both held the power and authority to control the content of Pentair's SEC reports, press releases, and presentations to analysts and institutional investors.

Alleged Control Person Liability

The pleading asserts that the individual defendants are liable under Section 20(a) of the Securities Exchange Act of 1934 for the following:

- Control over the April 28, 2026 earnings release projecting full year 2026 sales up approximately 2 to 4 percent and adjusted EPS of $5.30 to $5.40

- Control over the Form 10-Q for the period ended March 31, 2026, including its inventory disclosures

- Receipt of internal budgets, plans, projections, and reports reflecting channel conditions in the Pool segment

- Authority to prevent issuance of the challenged statements or cause them to be corrected

- Direct and supervisory involvement in day-to-day operations of a segment that accounted for roughly 37% of fiscal 2025 net sales and 46% of reportable income

Sarbanes-Oxley Certification Obligations

As averred, senior officers who sign Sections 302 and 906 certifications attest personally to the accuracy and completeness of the periodic reports they submit. The complaint charges that the certified filings omitted significant destocking of inventory in the Pool channel, which Pentair later estimated reduced Pool segment sales by approximately $170 million and Pool segment income by approximately $105 million in the second quarter alone.

"Corporate officers have a duty to ensure their companies' public statements are accurate and complete. Here, the complaint alleges that guidance affirmed in April was issued without disclosing destocking that the Company would later quantify at approximately $250 million in full year Pool segment sales." -- Joseph E. Levi, Esq.

Frequently Asked Questions About the PNR Lawsuit

Q: Who are the defendants named in the PNR lawsuit? Stauch and former Chief Financial Officer Nicholas J. Brazis.

Q: What court was the PNR class action filed in? A: The case was filed in the United States District Court for the Southern District of New York, governed by the Private Securities Litigation Reform Act of 1995.

Q: What specific misstatements does the PNR lawsuit allege? A: The complaint alleges Pentair made materially false or misleading statements regarding inventory conditions in the Pool channel and full year 2026 financial guidance during the Class Period. When the Company disclosed preliminary second quarter results showing approximately $170 million of Pool segment sales impact and announced its CFO's departure, the stock price declined sharply.

Q: What is a lead plaintiff and why does it matter? A: A lead plaintiff is the investor appointed by the court to represent the entire class. Q: What happens after I contact Levi & Korsinsky? A: An attorney will review your trading history at no cost and provide an initial assessment of your potential eligibility.

Q: What if I already sold my PNR shares -- can I still recover losses? A: Yes. Eligibility is based on when you purchased, not whether you still hold the shares. Investors who bought during the Class Period and sold at a loss may still be eligible to participate.

Q: Do I need to go to court or give testimony? A: No. The overwhelming majority of class members never appear in court or give depositions. If there is a settlement or recovery, eligible class members generally submit a claim form to seek their portion.

Q: What does it cost me to participate? A: There is no upfront cost to contact the firm. Securities class actions are generally handled on a pure contingency basis. No upfront fees, no retainer, and no out-of-pocket costs. Any attorneys' fees and expenses awarded to class counsel are subject to court approval.

Levi & Korsinsky Reminds Shareholders of a Lead Plaintiff Deadline of September 28, 2026 in Rackspace Technology, Inc. Lawsuit - RXT
Image File
Original HTML

Chronology alert: between May 7 and July 9, 2026, Rackspace allegedly reaffirmed full-year revenue targets, cut 15% of its workforce, then slashed guidance by $150 million, according to the securities action.

NEW YORK, Sept. 9, 2026 /PRNewswire/ -- Levi & Korsinsky, LLP reminds purchasers of Rackspace Technology, Inc. (NASDAQ: RXT) securities of a pending securities class action on behalf of investors who acquired shares between May 7, 2026 and July 8, 2026. Request an institutional investor loss assessment. You may also contact Joseph E. Levi, Esq. at [email protected] or (212) 363-7500.

RXT shares fell $2.21 per share, or 33.6%, closing at $4.37 on July 9, 2026, down from a Class Period high of $7.53. Investors have until September 28, 2026 to seek lead plaintiff status.

Chronology of Material Events

The securities action traces a compressed sequence in which, as claimed, reassurance preceded restructuring, and restructuring preceded a guidance collapse.

- May 7, 2026: Rackspace announced a memorandum of understanding with AMD to build governed enterprise AI infrastructure and, the same day, reaffirmed full-year 2026 revenue guidance of $2,600 million to $2,700 million, including Public Cloud revenue of $1,575 million to $1,625 million.

- May 8, 2026: The Company filed its Form 10-Q describing a "Business Mix Shift" from Private Cloud toward Public Cloud infrastructure resale, language the securities action alleges did not disclose the reprioritization then underway.

- June 16, 2026: A definitive AMD agreement was announced for a phased 30 MW compute footprint, alongside a Form 8-K disclosing a workforce realignment plan terminating approximately 15% of the global workforce, with one-time charges of $14 million to $19 million and expected annualized run-rate savings of $75 million to $85 million.

- June 17, 2026: Shares closed at their Class Period high of $7.53.

- July 9, 2026: Before market open, the Company published second quarter results and a strategic update reducing full-year revenue guidance by $150 million and Adjusted EBITDA guidance by $20 million, including a $25 million Private Cloud reduction tied to exiting colocation and basic hosting and a $125 million Public Cloud reduction tied to exiting low-margin resale as hyperscalers moved customers to direct contracts.

The Widening Gap Between Reassurance and Restructuring

As claimed in the securities action, the warning signs multiplied while guidance stayed intact. A workforce reduction of that scale and the deemphasis of legacy service delivery functions were announced weeks before the revenue outlook was revised, and the revised full-year range of $2,450 million to $2,550 million implies a year-over-year revenue change of (9)% to (5)%. The action alleges that investors purchasing during this window did so at prices that did not reflect the scope of the reallocation away from the Private Cloud segment, which carried a 24.7% operating margin compared with 4.7% in Public Cloud.

"Timely disclosure of material developments is fundamental to fair and efficient markets. Here, the complaint alleges that a 15% workforce realignment was announced in June while full-year revenue targets remained unchanged until the $150 million reduction disclosed on July 9." -- Joseph E. Levi, Esq.

Levi & Korsinsky Reminds Shareholders of a Lead Plaintiff Deadline of September 28, 2026 in Capricor Therapeutics, Inc. Lawsuit - CAPR
Image File
Original HTML

A securities class action alleges Capricor Therapeutics told investors its Phase 3 HOPE-3 results were statistically significant while allegedly omitting that the final statistical analysis plan was rewritten one day before unblinding and was never agreed to by the FDA. This release traces the disclosure events date by date.

NEW YORK, Sept. 9, 2026 /PRNewswire/ -- Levi & Korsinsky, LLP notifies investors in Capricor Therapeutics, Inc. (NASDAQ: CAPR) that a class action has been filed on behalf of shareholders who purchased securities between December 17, 2025 and July 26, 2026. See if you could be eligible to recover. You may also contact Joseph E. Levi, Esq. at [email protected] or (212) 363-7500.

CAPR closed at $19.70 on July 24, 2026. Three trading sessions later, the stock declined approximately 78.7% including aggregate corrective-disclosure losses of $15.08 per share. Investors have until September 28, 2026 to seek lead plaintiff status.

Chronology of Alleged Disclosure Failures

The securities action traces a sequence in which optimistic regulatory messaging preceded the release of FDA briefing materials that described the HOPE-3 statistical record very differently.

- November 24, 2025: The final version of the statistical analysis plan (SAP v. 3.0) is dated, which FDA briefing documents later stated was one day before the trial data was unblinded and was not submitted to the agency for review before BLA submission.

- December 17, 2025: The Class Period opens as the Company discusses HOPE-3 topline results publicly, describing endpoints as statistically significant and "type 1 error controlled."

- January 20, 2026: A regulatory update states HOPE-3 demonstrated statistically significant improvements in both skeletal muscle and cardiac function.

- March 10, 2026: The Company announces the FDA lifted the Complete Response Letter and assigned a PDUFA target action date of August 22, 2026.

- July 27, 2026: FDA briefing documents state the study "did not meet its pre-specified primary and secondary efficacy endpoints," characterize post-study analyses as "post-hoc and exploratory," and describe the benefit-risk assessment as unfavorable. Shares fall $12.70, or 64%, to $7.00 on unusually heavy volume.

- July 30, 2026: Reporting on the advisory committee's 9-3 vote indicates the panel concluded available evidence does not support deramiocel's efficacy. Shares fell $2.38, or approximately 36%, to close at $4.19.

Why the Sequence Matters to Shareholders

The securities action alleges investors were never told that the analytical framework supporting the efficacy claims had been modified after study completion without agency agreement, or that a distinctive hypersensitivity reaction profile (42% of treated patients versus 15% on placebo) raised the possibility of functional unblinding.

"Timely disclosure of material developments is fundamental to fair and efficient markets. The complaint raises the question of when the unagreed statistical analysis plan changes described in the FDA's briefing documents were known internally, as compared with when shareholders learned of them." -- Joseph E. Levi, Esq.

UWMC Shareholder Alert: UWM Holdings Corporation Securities Class Action Lawsuit - Investors With Losses May Contact Levi & Korsinsky
Image File
Original HTML

A single trading session erased more than a third of UWM Holdings' market value after the Company reported a $603.2 million interest rate derivatives loss, with the securities class action alleging investors were never told the Company had taken an over-hedged MSR position tied to the failed Two Harbors deal.

NEW YORK, Sept. 9, 2026 /PRNewswire/ -- Levi & Korsinsky, LLP alerts investors in UWM Holdings Corporation (NYSE: UWMC) of a pending securities class action filed on behalf of shareholders who purchased securities between March 9, 2026 and August 5, 2026. Find out if you may qualify to recover losses. You may also contact Joseph E. Levi, Esq. at [email protected] or (212) 363-7500.

UWMC shares fell $0.64, or 34.78%, to close at $1.20 on August 6, 2026, on unusually heavy trading volume. Shares had traded as high as $4.04 on March 10, 2026, a Class Period peak. Investors have until October 13, 2026 to seek lead plaintiff status.

The Market Reaction to the August Disclosure

After the market closed on August 5, 2026, UWM reported second quarter results that included a $603.2 million interest rate derivatives loss, a $451.9 million quarterly net loss, and a 43.6% year-over-year decline in total equity. The following morning, during the Company's earnings call, management described the position as "over-hedged" in connection with the terminated Two Harbors Investment Corp. transaction, a deal originally valued at $1.3 billion. Trading volume spiked as the stock repriced.

How the Repricing Compares to Class Period Highs

- Class Period high: $4.04 per share on March 10, 2026

- Closing price after the disclosure: $1.20 per share on August 6, 2026

- Single-session decline: $0.64 per share, or 34.78%

- Reported interest rate derivatives loss: $603.2 million

- Reported second quarter net loss: $451.9 million

- Reported year-over-year decline in total equity: 43.6%

The complaint asserts that these figures reflect the removal of artificial inflation from the share price once information about the hedging position reached the market.

What the Complaint Says Was Missing From Prior Statements

The action charges that, during the Class Period, the Company did not disclose that it had departed from its longstanding practice of not hedging mortgage servicing rights, that the position taken ahead of the Two Harbors transaction was excessive, and that purported risk mitigation had instead created an excess hedging exposure. The pleading asserts that positive statements about the Company's business and prospects were therefore materially misleading or lacked a reasonable basis.

"When companies fail to disclose material information, shareholders may suffer significant losses. The complaint here alleges that UWMC investors were not told the Company had taken a hedging position outside its stated business model before a $603.2 million derivatives loss was reported." -- Joseph E. Levi, Esq.

TBLA Shareholder Alert: October 20, 2026 Lead Plaintiff Deadline in Taboola.com Ltd. Securities Class Action - Contact Levi & Korsinsky
Image File
Original HTML

Important Information Regarding Section 20(a) Individual Liability Claims: Taboola.com Ltd.'s Chief Executive Officer and Chief Financial Officer are named personally in a securities class action alleging they controlled and certified statements about "accelerated growth" while an alleged buildup of low-quality publishers went undisclosed.

NEW YORK, Sept. 9, 2026 /PRNewswire/ -- Levi & Korsinsky, LLP alerts investors in Taboola.com Ltd. (NASDAQ: TBLA) of a pending securities class action on behalf of shareholders who purchased securities between May 6, 2026 and August 4, 2026. Find out if you may be eligible to recover losses. You may also contact Joseph E. Levi, Esq. at [email protected] or (212) 363-7500.

TBLA shares fell $1.45 per share, or 27.41%, closing at $3.84 on August 5, 2026, after Taboola reported second quarter revenue of $476.8 million against guidance of $492-$505 million and cut full year 2026 revenue guidance by $91 million at the midpoint. The window to apply for lead plaintiff closes on October 20, 2026.

The Named Individual Defendants

Beyond the Company itself, the securities action names Chief Executive Officer Adam Singolda and Chief Financial Officer Stephen Walker, each identified as serving in those roles at all relevant times. The complaint charges that both officers possessed the power and authority to control the contents of the Company's SEC reports, press releases, and presentations to analysts and institutional investors, and that each had the ability to prevent or correct the statements alleged to be misleading before they reached the market.

Section 20(a) Control Person Framework

In practical terms, control person claims under Section 20(a) of the Exchange Act mean that senior officers can be held personally answerable alongside the company for statements they controlled. The pleading also asserts that as signatories of the Company's quarterly report for the period ended March 31, 2026, the officers carried certification obligations under Sarbanes-Oxley Sections 302 and 906 covering the accuracy of reported financial information, including the definite-lived intangible asset line identifying publisher relationships.

Sarbanes-Oxley Certification Obligations

- Both officers are alleged to have had access to internal reports, budgets, and projections reflecting the condition of the publisher network.

- Full year 2026 revenue guidance was later reset to $1,930-$1,956 million, and gross profit guidance to $605-$615 million, a reduction of $10 million at the midpoint.

- The complaint contends the value assigned to publisher relationships as a definite-lived intangible asset was overstated.

- The action alleges the officers knew or recklessly disregarded that an increase in low-quality publishers would require an aggressive exit strategy affecting earnings.

- Shares reached a Class Period high of $5.58 on July 9, 2026, less than four weeks before the disclosure.

- No safe harbor protection is claimed to apply, because the challenged statements are alleged to concern then-existing facts and conditions.

"Corporate officers have a duty to ensure their companies' public statements are accurate and complete. The complaint here alleges that senior executives controlled disclosures describing accelerated growth while conditions in the publisher network were allegedly developing in the opposite direction." -- Joseph E. Levi, Esq.

Q: What court was the TBLA class action filed in? A: The case was filed in the United States District Court for the Southern District of New York, governed by the Private Securities Litigation Reform Act of 1995.

Q: What is a lead plaintiff and why does it matter? A: A lead plaintiff is the investor appointed by the court to represent the entire class. Lead plaintiffs are typically investors with the largest documented losses. Being appointed does not increase individual recovery but gives direct oversight of how the case is run.

Q: What happens after I contact Levi & Korsinsky? A: An attorney will review your trading history at no cost and provide an initial assessment of your potential eligibility.

Q: What if I already sold my TBLA shares -- can I still recover losses?

A: There is no upfront cost to submit your information and review whether you may be eligible to recover. Should you choose to participate in the securities class action, they are generally handled on a contingency basis, with any attorneys' fees and expenses subject to court approval.

Levi & Korsinsky Reminds Shareholders of a Lead Plaintiff Deadline of October 13, 2026 in The Simply Good Foods Company Lawsuit - SMPL
Image File
Original HTML

A securities class action alleges Simply Good Foods' former CEO Geoff E. Tanner and CFOs Shaun P. Mara and Christopher J. Bealer certified filings that painted the $280 million OWYN integration as on track, while SMPL shareholders absorbed a decline of more than 70% and a $200 million write-down.

NEW YORK, Sept. 9, 2026 /PRNewswire/ -- Levi & Korsinsky, LLP alerts investors in The Simply Good Foods Company (NASDAQ: SMPL) of a pending securities class action covering purchasers between October 24, 2024 and April 8, 2026. Find out if you may be eligible to recover losses. You may also contact Joseph E. Levi, Esq. at [email protected] or (212) 363-7500.

SMPL shares fell from $14.41 per share on April 8, 2026, to $10.44 per share on April 10, 2026, a decline exceeding 27%, or more than $10.40 per share. The Company recorded a $187 million impairment against OWYN intangible assets, bringing cumulative write-downs to $200 million on a $280 million acquisition. The window to apply for lead plaintiff closes on October 13, 2026.

The Named Individual Defendants

The action names Geoff E. Tanner, President and Chief Executive Officer from July 2023 until January 2026; Shaun P. Mara, Chief Financial Officer from October 2022 until July 2025; and Christopher J. Bealer, Chief Financial Officer since July 2025 and previously SVP Finance. Each is alleged to have signed or certified periodic reports describing the OWYN acquisition as central to the Company's strategic vision.

Sarbanes-Oxley Certification Obligations

Under Sections 302 and 906 of the Sarbanes-Oxley Act, the certifying officers attested that the Company's quarterly and annual reports did not omit material facts. The complaint charges that those filings failed to disclose already-existing integration breakdowns, departures of key OWYN personnel, and product quality problems tied to a pea protein sourcing change.

Alleged Control Person Liability Under Section 20(a)

- Authority over the content of Form 10-K and Form 10-Q filings during the Class Period

- Certifications under Sarbanes-Oxley Sections 302 and 906 attesting to disclosure accuracy

- Direct participation in quarterly earnings calls addressing OWYN integration status

- Alleged access to internal reporting on OWYN margins, discounting, and G&A growth

- Alleged responsibility for risk factor language stating the Company "may not accomplish the integration of an acquired business smoothly"

- Alleged failure to correct prior statements as adverse conditions worsened

"Corporate officers have a duty to ensure their companies' public statements are accurate and complete. The complaint here alleges that certifications continued to attest to complete disclosure even as OWYN integration problems were allegedly known internally." -- Joseph E. Levi, Esq.

EU-Vergabereform stärkt resiliente Arzneimittelversorgung

Berlin (ots)

Krankenkassen müssen Versorgungssicherheit in Rabattverträgen stärker honorieren.

EU-PPA: Versorgungssicherheit verbindlich machen - Die Zeit drängt!

Berlin (ots)
