'Rejoice in Christ': Salt Lake Temple Celebration Welcomes the World

Reservations open as Church leaders invite people everywhere to participate in person and online in 2027

SALT LAKE CITY, Sept. 1, 2026 /PRNewswire/ -- The Church of Jesus Christ of Latter-day Saints on Tuesday invited people around the world to participate in the 2027 Salt Lake Temple Celebration, announcing the event's theme, "Rejoice in Christ," and opening reservations for tours of the renovated Salt Lake Temple.

Church leaders, community representatives and guests gathered at the new West Temple Entrance Building on Temple Square on Tuesday morning for a media event focused on the celebration, its worldwide reach and the multiple opportunities to participate in person and online.

"The Church of Jesus Christ of Latter-day Saints is a global church with a universal message of Jesus Christ in which we rejoice," said President Dieter F. Uchtdorf of the Quorum of the Twelve Apostles, chair of the Salt Lake Temple Executive Committee. "We're so grateful that we're here in a community where we're welcome. We invite you to come and see and love Jesus Christ and the people who come here."

The theme, "Rejoice in Christ," reflects the purpose of both the temple and the celebration. Church leaders said the six-month celebration (April 5–October 1, 2027) will center on Jesus Christ and invite visitors to learn more about His teachings, His gospel and His role in God's plan for His children.

President Uchtdorf noted that the invitation to rejoice in Christ extends beyond Temple Square. Referencing those suffering in Nepal and elsewhere around the world, he said followers of Jesus Christ seek to serve, pray for and bless others regardless of nationality, faith or circumstance.

"This is the reason why we rejoice in Christ," he said. "It's independent of which faith we have, which color we have, which language we speak, which socioeconomic background we have. In Jesus Christ, we unite in this wonderful time of rejoicing in Him."

The same phrase, "Rejoice in Christ," has also been selected as the Church's 2027 youth theme, creating an additional opportunity for young people around the world to focus on the Savior throughout the year.

Emily Belle Freeman, Young Women General President, noted that "Rejoice in Christ" comes from Philippians 4:4. She said the shared theme will help connect youth to both the Salt Lake Temple Celebration and the blessings of temple worship anywhere in the world.

"'I just love this thought of the youth all over the world rejoicing in all that we know about the house of the lord and the blessings that come from that knowledge," President Freeman said. "This will be a year of hallelujah. This will be a year of hosanna. This will be a year of rejoicing for us. I love that the youth will be part of that great year of rejoicing."

The temple celebration comes during a historic period of temple building for the Church around the world. In recent weeks, President Dallin H. Oaks dedicated the Belo Horizonte Brazil Temple, while visitors in Cambodia toured the Phnom Penh Cambodia Temple during its public open house. The Salt Lake Temple Celebration is part of a worldwide effort to help people better understand the purpose of temples and the role they play in drawing individuals and families to Jesus Christ. See the complete list of temples.

Other members of the Salt Lake Temple Executive Committee present for Tuesday's announcement were Elders Quentin L. Cook and Neil L. Andersen of the Quorum of the Twelve Apostles and Relief Society General President Camille N. Johnson.

They emphasized that the Salt Lake Temple Celebration is a global event for everyone, regardless of faith tradition or background. Whether guests are longtime friends of the Church, first-time visitors to Temple Square or participating virtually from other parts of the world, all are invited to experience the temple and its message of faith, hope and belonging.

"We hope you will come and learn more about us," said President Johnson. "We hope you understand in a more complete way why we build houses of the Lord all over the world, what our intention is, that people will have a greater understanding of what motivates us — our love for God and our love for our neighbors. And importantly, I hope people will feel something. They'll feel that peace and love and help that Jesus Christ offers."

The announcement event offered the first look at new art glass depicting the Savior's Book of Mormon invitation to "behold your little ones" (3 Nephi 17:23). In this setting, Primary General President Rosemary K. Chibota spoke about the role of children and youth in the celebration. The leader of the Church's global program for children encouraged youth to learn about temples, ask questions, invite others to participate and draw closer to Jesus Christ.

"This is more than touring a building — a remarkable building," President Chibota said. "It is about coming closer to Jesus Christ. It is about feeling God's love for us and remembering that all of us are beloved children of our Heavenly Father."

After her remarks, a children's choir performed the well-known hymn "I Love to See the Temple."

Utah Governor Spencer Cox was also present for the announcement and welcomed the opportunity to host visitors from around the world, highlighting the Salt Lake Temple's significance to Utah's history and identity. He also noted the contributions of Church members whose faith, service and community involvement continue to shape the state.

"We are so grateful to The Church of Jesus Christ of Latter-day Saints for their efforts in preserving this building," Governor Cox said. "[It is] one of the top tourist attractions in the state of Utah, one of the top tourist attractions anywhere in the United States."

He said the state expects millions of people to tour the temple in 2027. He noted that visitors will have an opportunity to learn about Utah's history and heritage while participating in the celebration.

"Thank you for giving the world this opportunity," the governor said. "We look forward to sharing it with you."

In addition to the temple open house, the Salt Lake Temple Celebration will feature exhibits, films, live music, visual arts, family history opportunities and other activities across Temple Square. Visitors will be able to explore the story of the temple's extensive renovation, learn about the sacred purpose of temples and participate in experiences designed for individuals and families of all ages.

The American Diabetes Association Audit and Governance Committee Releases Independent Review

Original HTML

ARLINGTON, Va., Sept. 1, 2026 /PRNewswire/ -- The American Diabetes Association® (ADA) Audit and Governance Committee (AGC) has released its independent review of events that took place on June 5, 2026, at the 2026 annual Scientific Sessions, in New Orleans, La. The ADA Board of Directors requested the AGC to present a full review of what occurred and provide recommended actions for the ADA to consider in the future.

Conclusive Findings

The comprehensive review concluded that the five attendees were removed due to conduct that disrupted the event and violated the ADA Attendee Code of Conduct, and that the content of the material that protesters were distributing was unrelated to their removal.

The report also found that onsite security personnel took appropriate actions in response to the disruptions; there was no evidence that a call was placed to the New Orleans Police Department by anyone from the ADA, though the report clarified that individuals wearing NOPD uniforms were working as contracted employees for the event security provider – a standard practice for large events held at the venue.

In addition, there were communication shortcomings between ADA staff, security, and attendees in the moments leading up to and during the disruptions.

Next Steps

"My hope is that now that the facts have been established, we can turn our full attention to the work ahead. Continuing our ongoing fight to protect diabetes research funding, advocating for the resources our communities need, and strengthening the support we provide to those we serve," said Charles "Chuck" Henderson, chief executive officer of the ADA.

Based on the AGC review, the ADA will implement important new initiatives to strengthen how we serve the scientific community, which includes improving our internal and external communications processes; ensuring leaders and staff understand their responsibilities in maintaining a safe, productive, and beneficial environment at Scientific Sessions and other ADA events; enhancing training and guidance for meeting and event staff and volunteers; reviewing, clarifying, and strengthening policies and procedures related to Scientific Sessions and other large meetings; and reinforcing expectations outlined in the ADA Attendee Code of Conduct.

"The ADA does critically important work for the diabetes community every day, and we are grateful to the members of the Audit and Governance Committee for the significant time, care and diligence they devoted to this review. Their work provides the Board with a clear path forward and an opportunity to strengthen the ADA. We remain confident in the leadership of ADA CEO Chuck Henderson and his ability to lead the ADA forward as we implement these actions, strengthen our partnerships across the scientific and professional communities, and remain focused on improving the lives of people with diabetes," said James Tai, chair of the ADA Board.

About the Audit and Governance Committee (AGC)

The AGC is an independent body composed of volunteer investigators representing every stakeholder group in the ADA: clinicians, people with diabetes, healthcare providers, and business leaders aligned with the ADA mission. Over a near three-month period, the committee interviewed 28 individuals involved in or with firsthand knowledge of the events of June 5th, including the five individuals who were removed. The committee also reviewed many videos, emails, text messages, news articles, and published editorials to develop a comprehensive factual understanding of the events.

Clean electricity supplied 40% of new energy demand in 2025. Faster deployment and sectoral breakthroughs can cut emissions permanently, says annual Energy Transition Monitor
Image File
Original HTML

- A progress paradox: Clean electricity is growing more than twice the speed of overall energy supply, but emissions are not yet falling as overall demand for both fossil and clean energy is simultaneously expanding - driven by data centres, higher cooling needs and heavy industry.

- A two-speed transition: ~60% of global emissions - primarily from power generation and road transport - are rapidly being addressed by clean electrification at little or no extra cost. Progress is slower in the remaining 40% of emissions - from aviation, shipping, heavy industry and agriculture – which require solutions that carry a green cost premium or are at early-stages of commercial scale.

- Four levers remain largely unaddressed: coal use, methane emissions, deforestation, and slow scale up of carbon removals.

LONDON, Sept. 2, 2026 /PRNewswire/ -- Global clean energy investment hit a record $2.1 trillion in 2025. Solar, batteries and electric vehicles again outperformed every forecast. But rising energy demand means global greenhouse gas emissions are only plateauing, not falling. The world has already breached 1.5°C of global heating and remains on track for around 2.5°C, according to the Energy Transitions Commission's (ETC) Energy Transition Monitor 2026, published today.

As wildfires and intense heatwaves cause widespread economic and human damage and energy security costs mount since the Hormuz closure, demand for clean alternatives to volatile fossil fuels has grown. The annual assessment from the ETC Secretariat — representing a global coalition of energy, industry and finance leaders – finds that renewables supplied 99% of the growth in global electricity generation in 2025, while coal-fired and oil-fired generation both contracted. Global renewable capacity has almost doubled since 2022 and is on track to double again by 2030 — around 900 GW short of the tripling pledged at COP28.

But clean power is chasing a moving target: because electricity remains only a fifth of total final energy use, this growth in clean electricity covered just 40% of the rise in global energy demand, with fossil fuels supplying the rest, as demand from buildings, heavy industry and long-distance transport kept rising.

Clean technologies must be deployed faster to meet this growing demand. The report also identifies four other key levers for global emissions reductions that remain largely unaddressed: coal use, methane emissions, deforestation, and scale up of carbon removals.

The report describes a two-speed transition. Around 60% of global emissions could be abated through clean electrification alone at little or no extra cost — primarily in power generation and road transport, where electrification is already accelerating.

But barriers remain. Grid capacity is a major bottleneck to this acceleration: around 375 GW of renewables and 455 GW of battery storage are stuck in European connection and permitting queues, roughly 2,300 GW await grid connection in the United States, and nearly 10% of China's wind and solar outputs were curtailed due to grid constraints in the first half of 2026. Supporting low-cost renewables through long-term contracts can also accelerate electrification.

The remaining 40% of global emissions, from high-temperature industrial heat, aviation, shipping and parts of agriculture, requires solutions that carry a green cost premium or are at early-stages of commercial scale. Of roughly 1,000 clean industrial projects announced globally, fewer than 20% have reached a final investment decision. Carbon pricing is strengthening, making clean projects more financially viable, but firm offtake commitments are still a major gap.

"Clean energy is now outpacing fossil growth, but deployment speed alone won't cut emissions. Without removing grid bottlenecks, securing buyer commitments for clean industrial products, and achieving cost breakthroughs in shipping and aviation, emissions will continue to plateau and not fall." said Adair Turner, Co-Chair, ETC.

"Coal is not phasing down, methane emissions are not falling, forests are still being cut down, and carbon removal is nowhere near the scale required. We must act to address these. Only by doing this can we stop the rapid heating of the planet, and we are seeing the effects of this in real time." said Jules Kortenhorst, Co-Chair, ETC.

"The Energy Transition Monitor makes clear that the challenge is no longer whether clean energy technologies can scale, but whether we can deploy them fast enough to meet growing demand and reduce emissions simultaneously. As electricity demand accelerates, we have all the resources available to design energy solutions that pair abundant clean power with efficiency, flexibility, and modernized grids. The report points out solutions to unlock permitting and connection barriers to access resources at the scale of the opportunity. By combining clean electrification with smarter energy use, we can strengthen energy security and accelerate emissions reductions while still supporting economic growth." said Jon Creyts, CEO, RMI, a member of the Energy Transitions Commission.

The picture varies sharply by region:

- China: Building clean electrification faster than anywhere on earth.

- Supplies 83% of the world's renewable-energy equipment, 45% of clean industrial plant equipment.

- Installs more than half the world's wind and solar. In 2025, 56% of new passenger vehicle sales were EVs, and 13 of 19 global clean heavy-industry investment decisions were made in China in first half of 2026.

- United States: Federal action stops the transition accelerating but doesn't stop it entirely.

- Since January 2025, 21 GW of clean energy was cancelled. Fossil capacity additions surged 71% in 2025-2026. Yet renewable growth slowed by only 2%.

- Data centres present the sharpest contradiction: accounting for half of all new clean energy contracts, while simultaneously driving the largest increase in new fossil fuel power capacity.

- EU and UK: Fastest emissions reduction progress of the major economies, though momentum has recently slowed.

- Renewable installations are strong and around 1 in 5 new passenger cars purchased are EVs. The European Commission's electrification action plan targets a step change in the pace of deployment.

- Around 375 GW of renewables and 455 GW of battery storage are stuck in permitting and grid-connection queues.

- India: The world's cheapest renewables but installs 9 times slower than China.

- Fastest electricity demand growth for a major economy at 6.4% a year, but new clean capacity is being absorbed by rising demand rather than displacing coal.

- Asia (excluding China & India) & Australia: Renewables contributed 62% of new power capacity in 2024, but progress across the region is uneven.

- High fossil fuel prices caused by the Hormuz strait closure has pulled the need for energy security and clean energy forward in the region. Countries including South Korea and Indonesia accelerated their renewables targets.

Holly Paz, Former IRS Large Business & International Commissioner and Architect of Section 48 Implementation, Joins alliant
Image File
Original HTML

HOUSTON, Sept. 1, 2026 /PRNewswire/ -- alliant is pleased to announce the addition of Holly Paz to its stellar bench of tax luminaries. Paz most recently served as Commissioner of the Internal Revenue Service's Large Business & International (LB&I) Division. Paz arrives after more than two decades at the forefront of federal tax law and tax administration and will help lead alliant's Section 48 and energy infrastructure practice.

"Holly rounds out an alliant team of former IRS leaders second to none, with experience across all categories of taxpayers, including small, medium, and large businesses as well as governmental entities," said Mark Everson, alliant's Vice Chairman and a former IRS commissioner under President George W. Bush. "Her arrival strengthens our ability to bring a unique perspective and exceptional technical capability to the most complex issues facing taxpayers." As Commissioner of LB&I, Paz led one of the IRS's most consequential divisions. Large Business & International is responsible for tax administration across the country's largest and most complex taxpayers, including major corporations, partnerships, S corporations, high-wealth individuals, and cross-border filers.

Paz Wrote the IRS' Playbook on Section 48

During her tenure, Paz oversaw the IRS's implementation of the complex provisions of the Inflation Reduction Act (IRA), including the clean energy investment and production tax credits. One of the most complicated tax acts in decades, the IRA created an intricate bonus structure for businesses, non-profits, and government entities deploying energy technologies.

"Just to be frank, Holly shaped how Section 48 actually works in practice. There is simply no one that could possibly understand it as well as she does" said Danny Werfel, a member of alliant's strategic advisory board and IRS commissioner under President Biden and acting commissioner under President Obama. "Having people like Holly exemplifies the kind of expertise alliant is known for."

While complex, the reward can be up to 50% credit for businesses, non-profits, and government entities. To make the credit even more attractive, it includes a transferability provision, allowing businesses to sell the credit for cash, and a direct pay provision, allowing non-profits and government entities to receive cash directly from the federal government. There is, however, a nuanced bonus structure to maximize the credit, especially with the prevailing wage and apprenticeship requirements. Holly was at the center of the rules that now shape how capital-intensive energy projects qualify for and claim these credits..

A Best-in-Class Team for America's Future

"The United States is in the most consequential race of our lifetimes, the AI race. And the bottleneck isn't chips anymore, it's energy. So, the government has put the most powerful energy production credits ever in place, to power the AI compute ecosystem, reduce our dependence on foreign fuel, and grow our skilled labor workforce," said alliant Global Chief Executive Officer Dhaval Jadav. "It is so important to the future of our country that businesses and government entities get the benefits they are entitled to from Congress, and Holly built the delivery mechanism as well as the enforcement apparatus to do that. We're so lucky to have her be part of our team."

alliant has assembled a team of the country's most advanced and capable experts dedicated to the AI compute buildout – with full command of Section 48's technical complexities and the related incentives helping finance the energy infrastructure behind it. Paz will help lead that team and play a central role in helping companies identify, substantiate, and claim the funds available to support these investments.

"To put Holly's expertise into perspective, we've reviewed over 600 energy credit claims under the new rules. Companies of all sizes, companies that were working with big 4 accounting firms, and government entities looking to claim these credits," said Chief Operating Officer Matt Noll. "Only 3 were passable by the standards established by Treasury and the IRS. Expertise like Holly's is key to ensuring taxpayers' compliance with this complex set of rules."

A Career at the Highest Levels of Tax Administration

Paz built her IRS career over 15-plus years, advancing through a series of senior LB&I posts, including Deputy Director for Content Development, Director of Corporate Issues and Credits (where she led technical guidance on the research credit), and Director of the Pass-Through Entities Practice Area, before being named Deputy Commissioner of LB&I in 2021 and Commissioner in 2023. Earlier in her IRS career, she led Rulings & Agreements for government entities and worked as an attorney-advisor in the Taxpayer Advocate Service.

Before joining the IRS, Paz spent eight years practicing tax law at national firms, advising corporations, fiduciaries, and high-net-worth individuals on complex tax, governance, and estate planning matters. She holds a J.D. from the University of Pennsylvania Law School and a B.A., magna cum laude, from Allegheny College.

"I'm so deeply excited to be at alliant, their reputation in the complex tax space is unparalleled and they are well respected, even within the IRS," Paz said. "I was asked the other day what the IRS wanted businesses to do with Section 48. I told them, the IRS wanted businesses to work with companies like alliant. I meant it, and that was before I ever joined. I'm looking forward to the work ahead."

A Shrinking Supply of New Physical Games May Be Making Old Ones Scarcer and More Valuable

Physical game spending fell to $1.5 billion in calendar year 2025, even as exceptional vintage sealed copies have reached seven-figure auction prices, according to Circana and Heritage Auctions.

MORTON GROVE, Ill., Sept. 1, 2026 /PRNewswire/ -- The market for physical video games is no longer moving in a single direction. The Old School Game Vault has released an analysis of public sales and auction data showing a widening distinction between the mainstream physical-game market and the much smaller market for rare vintage collectibles.

The analysis does not conclude that falling physical-game sales automatically make older games more valuable. Rarity, condition, completeness, edition, and collector demand can make individual items behave differently from the broader retail market.

U.S. physical video game sales reached $1.5 billion in 2025

U.S. spending on new physical video games totaled $1.5 billion in calendar year 2025, according to Circana Retail Tracking Service data shared by Mat Piscatella. This was the lowest annual level since Circana began tracking the category in 1995.

Circana data show that spending peaked at $11.6 billion in calendar year 2008, illustrating the scale of the long-term contraction. The measurement period matters, however. Circana's separate rolling 12-month series peaked at approximately $11.5 billion for the 12 months ending May 2009, while spending for the 12 months ending May 2026 was approximately $1.6 billion. These are different measurement periods, not conflicting totals.

A title released decades ago may remain inexpensive if many copies survive, while another from the same era may attract more collector interest because complete or well-preserved copies are scarce.

The condition of the game also matters. A loose cartridge, a complete copy with its original box and manual, and a factory-sealed example are not interchangeable from a collector's perspective.

Record auction prices show the difference between ordinary and exceptional games

Heritage Auctions reported that a sealed Wata 9.8 A++ copy of Super Mario 64 sold for $1.56 million in 2021, becoming the first video game sold at auction for more than $1 million.

The sale was exceptional rather than representative. Its sealed condition, grade, title significance, and scarcity placed it outside ordinary used-game transactions.

For sellers, the practical lesson is to identify each item before accepting a broad valuation. A collection can contain common mass-market titles alongside rarer games, consoles, accessories, and editions that warrant closer examination.

Methodology

The Old School Game Vault synthesized public U.S. physical video game sales data from Circana Retail Tracking Service, shared directly by Mat Piscatella, together with Heritage Auctions' 2021 press releases and auction records. No proprietary survey or original research was conducted. Circana figures describe mainstream physical software spending, while Heritage results represent individual collectible-market transactions.

Frequently Asked Questions

These questions summarize what the analysis means for the broader physical market and individual sellers.

Is the physical video game market growing or shrinking?

The U.S. physical video game market has undergone a major long-term contraction. Calendar-year 2025 spending was $1.5 billion, while the separate 12 months ending May 2026 reached approximately $1.6 billion. Neither figure determines the value of an individual retro title.

Why do some old games sell for so much?

Exceptional prices can occur when scarcity, condition, completeness, historical importance, and collector demand converge. The $1.56 million Super Mario 64 sale represents the extreme high end of the market, not a typical resale value.

What should sellers compare before choosing a buyer?

Sellers can compare specialization, offer transparency, condition requirements, testing procedures, shipping arrangements, and payment options.

Adecoagro Completes Acquisition of Caarapó Mill and Integrates It Into Its Cluster in Mato Grosso do Sul

LUXEMBOURG, Sept. 1, 2026 /PRNewswire/ -- Adecoagro S.A. (NYSE: AGRO) ("Adecoagro" or the "Company"), a leading sustainable production company in South America, announced today that it has completed the acquisition of the Caarapó Mill from Raízen Group, following the satisfaction of all conditions precedent set forth in the purchase agreement previously announced on July 20, 2026.

As of today, the mill is operating under Adecoagro's ownership and management.

The final purchase price was R$705 million (approximately US$136 million), paid in cash at closing. Based on Caarapó's crushing volume of 3.5 million tons during the 2025/26 harvest season, the acquisition implies a purchase price of approximately US$39 per ton of crushing capacity.

The Company sees significant opportunities to enhance operational performance through the implementation of its management practices, efficiency initiatives, and commercial optimization strategies. Over time, Adecoagro expects these improvements to substantially increase Adjusted EBITDA generation, bringing the asset's profitability in line with the performance levels achieved across its existing Sugar, Ethanol & Energy operations. During 2027 Adecoagro expects to crush 4.5 million tons at Caarapó, by processing excess sugarcane from its existing operations.

Renato Junqueira Santos Pereira, Adecoagro's VP of the Sugar, Ethanol and Energy business, commented: "Over the years, we have built a very competitive platform in Mato Grosso do Sul, benefiting from land availability at a competitive cost, the ability to extend the harvest season and crush year-round, significant production flexibility and a strong cogeneration base. We see Caarapó as a natural extension of this platform, as we will apply the same operating model and know-how." He added: "Caarapó is similar in scale to our existing mills in Mato Grosso do Sul, with installed capacity to crush approximately 6 to 7 million tons of cane per year, well above the 3.5 million tons processed in the past harvest seasons. By redirecting excess cane from our Cluster to Caarapó, we will increase crushing volumes from the outset, initially by extending the harvest season and ultimately migrating toward a continuous harvest model."

Mr. Junqueira remarked: "We see significant opportunities to improve Caarapó's operating KPIs and bring them closer to the levels achieved across our Cluster. These include industrial efficiency, asset utilization, energy exported per ton of cane, and the application of our agricultural best practices. We will use our existing G&A structure to manage the mill, and we will benefit from the scale of our integrated platform, including additional storage capacity and greater commercial flexibility. Together, these initiatives will drive further cash cost dilution, allowing Caarapó's production costs to gradually converge toward the Company's levels."

Mariano Bosch, Co-Founder and Chief Executive Officer of Adecoagro, said: "We are growing in crushing capacity at a very attractive price, and we see significant potential to improve Caarapó's performance by applying the same practices that have made our Sugar & Ethanol platform one of the most sustainable and lowest-cost producers of sugar, ethanol and energy in the world. We believe this gives us a clear path to create significant value for our shareholders."

With the acquisition, Adecoagro expects its Cluster in Mato Grosso do Sul to crush 17 million tons in 2027, becoming one of the largest Clusters in Brazil.

About Adecoagro:

Adecoagro is a leading sustainable production company in South America. Adecoagro owns 210.4 thousand hectares of farmland and several industrial facilities spread across the most productive regions of Argentina, Brazil and Uruguay, where it produces 3.1 million tons of agricultural products, 1.3 million tons of fertilizers and over 1 million MWh of renewable electricity.

NEW YORK, Sept. 1, 2026 /PRNewswire/ -- Fly-E Group, Inc. (Nasdaq: FLYE) ("Fly-E" or the "Company"), an electric vehicle company engaged in designing, installing, selling, and renting smart electric motorcycles, electric bikes, and electric scooters, today announced its financial results for the first quarter of fiscal year 2027 ended June 30, 2026.

First Quarter of Fiscal Year 2027 Financial Summary

- Net revenues were $2.7 million, compared to $5.3 million in the same period last year.

- Gross profit was $0.3 million, compared to $2.3 million in the same period last year.

- Gross margin was 10.9%, compared to 42.4% in the same period last year.

- Net Loss was $3.9 million, compared to $2.0 million in the same period last year.

- Basic and diluted losses per share were $2.41, compared to $6.00 in the same period last year.

Mr. Zhou (Andy) Ou, Chief Executive Officer of Fly-E, commented, "In the first quarter, we continue to realign our business toward a leaner and asset-light operational model. While our revenue and margin profile reflect the deliberate contraction of our direct retail footprint alongside ongoing promotional pricing to clear inventory, we grew our wholesale revenues by 46.9% and made continued investments in technology advancement. By upgrading our operational systems and advancing our mobile applications, we are better positioned to drive efficiency and improve user experiences across our riding and rental services. Together with our focus on service quality and lean management, these efforts position Fly-E for long-term growth."

First Quarter of Fiscal Year 2027 Financial Results

(Three Months Ended June 30, 2026)

Net Revenues

Net revenues were $2.7 million in the first quarter of fiscal year 2027, a decrease of 48.4% from $5.3 million in the same period last year. The decrease was primarily driven by a reduction in direct retail store count to four stores as of June 30, 2026, compared to 20 stores as of June 30, 2025, resulting in a lower sales volume of 7,558 units in the first quarter of fiscal year 2027, compared to 10,448 in the same period last year.

- Retail sales revenue was $0.6 million in the first quarter of fiscal year 2027, a decrease of 84.3% from $3.8 million in the same period last year. The decline was primarily attributable to a noticeable reduction in retail stores compared to the prior year period, alongside price adjustments made to address heightened market competition, as well as softened consumer demand for E-Bikes and E-Scooters following industry-wide lithium-ion battery safety concerns in the New York market.

- Wholesale revenue was $2.1 million in the first quarter of fiscal year 2027, an increase of 46.9% from $1.4 million in the same period last year. This growth was primarily due to ongoing product purchases from the retail stores that were streamlined and transitioned to independent operations during the period.

Cost of Revenues

Cost of revenues was $2.4 million in the first quarter of fiscal year 2027, a decrease of 20.2% from $3.1 million in the same period last year, primarily reflecting lower sales volume following the downsizing of our retail store network.

Gross Profit and Margin

Gross profit was $0.3 million in the first quarter of fiscal year 2027, compared to $2.3 million in the same period last year. Gross margin was 10.9% in the first quarter of fiscal year 2027, compared to 42.4% in the same period last year. The decrease in gross margin was primarily attributable to a structural mix shift from direct retail toward lower-priced wholesale channels, further impacted by competitive retail pricing and inventory clearance discounts.

Total Operating Expenses

Total operating expenses were $3.8 million in the first quarter of fiscal year 2027, remaining flat compared to $3.8 million in the same period last year. While the total amount remained steady, our expense structure shifted: operational cost savings from retail store streamlining were offset by increased software development fees and incurred expected credit losses.

- Selling expenses were $0.5 million in the first quarter of fiscal year 2027, a decrease of 63.3% from $1.3 million in the same period last year, primarily driven by the retail store network downsizing which lowered associated payroll, rental, utility and depreciation expenses.

- General and administrative expenses were $3.4 million in the first quarter of fiscal year 2027, an increase of 37.0% from $2.4 million in the same period last year. Cost savings achieved in payroll, professional fees, insurance, travel, and entertainment following the store scale-down were offset by higher software development fees for our ERP and mobile applications, as well as increased expected credit losses on prepayments and receivables.

Net Loss

Net loss was $3.9 million in the first quarter of fiscal year 2027, compared to $2.0 million in the same period last year.

Basic and Diluted Earnings (Losses) per Share

Basic and diluted losses per share were $2.41 in the first quarter of fiscal year 2027, compared to $6.00 in the same period last year.

EBITDA

EBITDA was negative $3.5 million in the first quarter of fiscal year 2027, compared to negative EBITDA of $1.3 million in the same period last year.

Financial Condition

As of June 30, 2026, the Company had cash of $60 thousand, compared to $0.3 million as of March 31, 2026.

Non-GAAP Financial Measures

To supplement our financial information presented in accordance with the generally accepted accounting principles in the United States (the "U.S. GAAP"), management periodically uses certain "non-GAAP financial measures," as such term is defined under the rules of the SEC, to clarify and enhance understanding of past performance and prospects for the future. Generally, a non-GAAP financial measure is a numerical measure of a company's operating performance, financial position or cash flows that excludes or includes amounts that are included in or excluded from the most directly comparable measure calculated and presented in accordance with U.S. GAAP. For example, non-GAAP measures may exclude the impact of certain items such as acquisitions, divestitures, gains, losses and impairments, or items outside of management's control. Management believes that the following non-GAAP financial measure provides investors and analysts useful insight into our financial position and operating performance. Any non-GAAP measure provided should be viewed in addition to, and not as an alternative to, the most directly comparable measure determined in accordance with U.S. GAAP. Further, the calculation of these non-GAAP financial measures may differ from the calculation of similarly titled financial measures presented by other companies and therefore may not be comparable among companies.

We use EBITDA (earnings before interest, taxes, depreciation, and amortization) to evaluate our operating performance. We believe EBITDA provides additional insight into our underlying, ongoing operating performance and facilitates year-to-year comparisons by excluding the earnings impact of interest, tax, depreciation and amortization and that presenting EBITDA is more representative of our operational performance and may be more useful for investors.

We reconcile our non-GAAP financial measure to our net income, which is our most directly comparable financial measure calculated and presented in accordance with U.S. GAAP. EBITDA includes adjustments for provision for income taxes, as applicable, interest income and expense, depreciation, and amortization. EBITDA does not represent and should not be considered an alternative to net income as determined by U.S. GAAP, and our calculations thereof may not be comparable to those reported by other companies. We believe EBITDA is an important measure of operating performance and provides useful information to investors because it highlights trends in our business that may not otherwise be apparent when relying solely on U.S. GAAP measures and because it eliminates items that have less bearing on our operating performance. EBITDA, as presented herein, is a supplemental measure of our performance that is not required by, or presented in accordance with, U.S. GAAP. We use non-GAAP financial measures as supplements to our U.S. GAAP results in order to provide a more complete understanding of the factors and trends affecting our business. EBITDA is a measure of operating performance that is not defined by U.S. GAAP and should not be considered a substitute for net (loss) income as determined in accordance with U.S. GAAP.
