Model-based digital twin capability of Vertiv™ SmartRun helps accelerate AI factory design, simulation and deployment workflows

COLUMBUS, Ohio [June 1, 2026] – Vertiv (NYSE: VRT), a global leader in critical digital infrastructure, today announced progress on a production-grade digital twin capability for Vertiv™ SmartRun integrated in the NVIDIA Omniverse DSX Blueprint, advancing the company’s roadmap to make AI factory infrastructure more configurable, repeatable, and simulation-ready.

As AI deployments scale to higher densities and larger capacities, data centers need a faster, more reliable way to turn each generation of computing into real-world infrastructure. Traditional, document-based processes and siloed handoffs across power, cooling, controls, and deployment teams can’t keep pace. Vertiv SmartRun digital twin shifts planning to a model-based approach, allowing infrastructure to be designed, simulated, and validated as a single system before build-out. By capturing system configurations and dependencies in a virtual environment, it helps reduce late-stage design changes and integration risk, improve confidence through simulation, and accelerate time from planning to operational readiness—while improving coordination across teams.

“AI infrastructure can no longer be planned one compute generation at a time,” said Scott Armul, chief product and technology officer at Vertiv. “To deliver more tokens per second per megawatt, customers need power, cooling, controls, and deployment workflows to be designed as one interdependent system. The Vertiv SmartRun digital twin helps encode Vertiv’s infrastructure expertise into configurable, simulation-ready building blocks that support faster, more confident AI factory planning. As we extend this approach to Vertiv™ OneCore Rubin DSX, Vertiv is helping customers translate future compute requirements into deployable physical infrastructure before those requirements reach full deployment scale.”

The Vertiv SmartRun digital twin is the first phase in Vertiv’s multi-phase AI factory digital twin roadmap. Digital twins are designed to help close the gap between accelerated compute innovation and physical infrastructure readiness, preserving engineering intent from early configuration and simulation through deployment, commissioning, lifecycle assurance, and future optimization.

“AI factories require full-stack co-design across compute and physical infrastructure,” said Vladimir Troy, vice president of AI Infrastructure at NVIDIA. “NVIDIA Omniverse DSX Blueprint helps the ecosystem build, simulate, and optimize gigawatt-scale AI factory digital twins using OpenUSD, SimReady assets, and power, thermal, and operational simulations. Bringing Vertiv SmartRun into this workflow can help customers evaluate infrastructure choices earlier and prepare for multiple generations of accelerated computing.”

At Computex Taipei 2026, Vertiv will demonstrate Vertiv™ SmartRun as both a physical infrastructure system and a configurable digital twin, allowing attendees to explore configuration scenarios and see how model-based design choices can support downstream infrastructure planning, coordination, and simulation workflows. Created using Dassault Systèmes model-based systems engineering capabilities on the 3DEXPERIENCE platform and connected to NVIDIA Omniverse DSX workflows, the demonstrator establishes a shared digital foundation for configuration, simulation, validation, and future optimization across the AI factory infrastructure lifecycle.

“Digital twins allow complex infrastructure systems to be represented with the intelligence of their configuration rules, dependencies, and engineering intent,” said Stéphane Sireau, vice president of high tech industry at Dassault Systèmes. “At Computex, Vertiv, Dassault and NVIDIA demonstrate how Vertiv’s AI factory infrastructure is moving from document-based design workflows toward an industrialized, model-based systems engineering approach optimized for speed, quality, and system-level performance.”

Integrated power, liquid cooling, racks and deployment services provide a repeatable physical infrastructure configuration for high-density AI systems

COLUMBUS, Ohio [July 23, 2026] — Vertiv (NYSE: VRT), a global leader in critical digital infrastructure, today announced the deployment of integrated power, liquid cooling, rack infrastructure and installation services supporting the Naval Postgraduate School’s (NPS) new NVIDIA DGX™ GB300 system. The project establishes an advanced, locally operated AI environment for education, research, digital engineering, modeling and simulation. It also demonstrates how an existing facility can be transformed to support the electrical, thermal and operational requirements of next-generation accelerated computing.

NVIDIA provided the DGX GB300 system to NPS, while Vertiv provided and deployed the supporting physical infrastructure, engineering expertise and installation services required to bring the high-density, liquid-cooled environment online.

“Advanced AI systems are redefining the physical requirements of the data center,” said Gio Albertazzi, CEO of Vertiv. “The NPS deployment demonstrates what is required to turn rack-scale accelerated computing into operational AI capability. By coordinating compute requirements with power, liquid cooling, installation and lifecycle readiness, organizations can deploy AI faster, reduce integration risk and create a repeatable foundation for future growth.”

Turning AI compute into operational capability

Rack-scale AI systems are changing how organizations plan and deploy digital infrastructure. Enterprise AI requires a complete physical configuration that coordinates compute, power, liquid cooling, racks, controls, installation, commissioning and lifecycle support.

The NPS project provides a practical example of how an existing facility can be modernized to support advanced AI capability without waiting for an entirely new purpose-built environment. For enterprise, government, research and institutional customers, this approach can reduce deployment complexity, accelerate time to productive AI capacity and establish a scalable foundation for future expansion.

High-density AI systems require substantially more power and cooling capacity than traditional IT environments. Deployments can involve power distribution upgrades, liquid-cooling integration, facility modifications, fluid management and specialized commissioning. Designing these elements as a coordinated system can reduce integration risk and improve operational readiness.

A repeatable physical configuration for Enterprise AI

The Vertiv™ SmartIT pre-integrated rack-level AI infrastructure portfolio is designed to accelerate AI deployment across a range of physical infrastructure configurations, from standalone enterprise systems to fully integrated whitespace solutions. For larger-scale environments, Vertiv SmartIT can be integrated with Vertiv™ SmartRun to extend the same pre-engineered architecture converging the whitespace, coordinating rack infrastructure, power, cooling, controls and services as one deployable system. This modular approach provides customers with a repeatable path from an initial AI deployment to broader capacity expansion in both existing facilities and new builds.

Working with NVIDIA, NPS, the NPS Foundation and a broad ecosystem of partners, Vertiv designed and delivered a three-rack Vertiv SmartIT integrated AI infrastructure configuration to support the NVIDIA system. The Vertiv SmartIT configuration integrates:

- Power protection and distribution

- AI infrastructure racks

- Liquid-cooling technologies

~$1.45 billion acquisition expected to expand Vertiv’s addressable opportunity in power-constrained data centers

- Adds microgrid controls, onsite generation orchestration, microgrid-specific switchgear and behind-the-meter power architecture to Vertiv’s portfolio

- Extends Vertiv’s power and cooling portfolio from grid interconnect to chip, independent of any single generation technology or supplier

- UIG’s proven team and proprietary technology expected to help customers accelerate time to power through grid-connected or grid-independent architectures

COLUMBUS, Ohio [September 2, 2026] – Vertiv Holdings Co. (NYSE: VRT) (“Vertiv”), a global leader in critical digital infrastructure, today announced its wholly-owned subsidiary, Vertiv Corporation, has entered into an agreement and plan of merger to acquire Utility Innovation Holdings, Inc., which operates as UtilityInnovation Group (“UIG”), a leader in microgrid solutions, advanced power controls and behind-the-meter power architecture design for data centers, for approximately $1.45 billion in cash at closing, with additional consideration of up to $1.15 billion in cash based on achieving certain earnings before interest, taxes, depreciation and amortization (“EBITDA”) targets over 12- and 24-month periods.

At the approximately $1.45 billion purchase price, the acquisition represents approximately 13x expected UIG 2027 EBITDA. The EBITDA multiple is anticipated to be significantly lower if the full earnout is paid. Vertiv expects the acquisition to be accretive to adjusted earnings per share in the first year following completion. Strategically, the acquisition extends Vertiv upstream to the grid interconnect, adding microgrid controls, onsite generation and energy storage orchestration, and behind-the-meter power architecture. These capabilities are expected to help data center operators secure power faster as grid constraints increasingly limit AI infrastructure deployment.

As power availability becomes a more critical factor in data center development, architecture decisions are moving earlier in the planning process. Microgrid systems can coordinate onsite generation and energy storage, reduce reliance on utility power and support the grid when needed. This is expanding the importance of power architecture at the earliest stages of site development, when decisions can have significant implications for downstream infrastructure.

“For AI data center operators, competitive advantage increasingly depends on how quickly they can move from site selection to first token,” said Gio Albertazzi, Chief Executive Officer, Vertiv. “Vertiv has the most complete power and cooling portfolio in the industry. With UIG, we anticipate extending that portfolio upstream to the utility interconnect and onsite power sources, creating a coordinated architecture from source to chip without tying customers to a single generation technology or supplier.”

Albertazzi continued: “Together, we anticipate being better positioned to support grid-connected sites, bridge-to-grid deployments and islanded sites supplied by onsite generation, while reducing complexity from site planning through rack-level deployment. This broader capability can help customers accelerate time to power and, ultimately, time to first token.”

UIG Founder and CEO Sidney Hinton added: “UIG was founded to solve increasingly complex power challenges for data center operators through flexible, technology-agnostic architectures. Vertiv’s global scale, critical infrastructure portfolio and service capabilities make it a strong strategic fit for what we have built. We believe this combination can expand the reach of UIG’s microgrid controls and power architecture expertise and create greater value for customers as power becomes an increasingly critical constraint on data center growth.”

Expanding Vertiv's Onsite Power Capabilities

UIG’s expertise and technologies complement Vertiv’s existing offerings:

- Experience: Design and delivery of microgrid systems for AI data center operators across the United States and Europe, supported by extensive utility relationships and experience with complex, large-scale deployments. UIG’s designs are generation-agnostic, allowing architectures to be built around the technologies a site can permit, fuel and finance.

- Expertise: Behind-the-meter power architecture design that engages customers at the earliest planning stages, before equipment is selected. This enables Vertiv to help define the power blueprint that shapes downstream infrastructure decisions, supported by pre-validated reference designs for grid-connected, bridge-to-grid and islanded sites.

- Technology: Proprietary controls platform and pre-engineered microgrid switchgear that orchestrate multiple power sources in real time and coordinate them with the critical power train.

Today, Vertiv brings deep systems and controls expertise across the critical power train, supported by an end-to-end power and cooling portfolio and global service network. Combined with UIG, Vertiv expects to help customers design and deploy integrated power architectures that improve speed, resiliency, efficiency, and flexibility.

Expected customer and operator benefits include:

- Faster access to power with less dependence on utility interconnection timelines

- Ability to scale site capacity beyond what the grid alone can provide

- A single accountable relationship from grid interconnect through rack-level infrastructure

Together, these capabilities are expected to give customers greater flexibility in how they source, manage and scale power as data center requirements evolve.

The 2.3 MW model extends Vertiv's liquid-cooling portfolio for edge, colocation and hyperscale AI deployments

Qualification enables AI factory builders to evaluate cooling products against applicable NVIDIA DSX requirements with greater confidence

COLUMBUS, Ohio [September 21, 2026] – Vertiv (NYSE: VRT), a global leader in critical digital infrastructure, today announced the 2.3 MW Vertiv™ CoolChip coolant distribution unit (CDU) model has qualified as a NVIDIA DSX Ready CDU. The 2.3 MW CDU model is the first CDU to qualify specifically as NVIDIA DSX Ready. Vertiv is among the initial providers of qualified CDU solutions in the NVIDIA DSX Ready program, which enables AI factory builders to identify specific power and cooling products that meet applicable NVIDIA DSX requirements.

“The scale of AI deployment is forcing a more integrated approach to data center infrastructure,” said Scott Armul, Chief Product and Technology Officer of Vertiv. “Compute, power and cooling decisions can no longer be made independently. A constraint on any one of those systems can limit the performance and productive capacity of the entire facility. NVIDIA DSX Ready gives customers a more consistent basis for evaluating critical infrastructure within that larger design.”

Armul continued: “The qualification of Vertiv’s 2.3 MW CDU model reflects our continued focus on providing the thermal building blocks, engineering expertise and lifecycle support customers need as they plan and operate increasingly complex AI environments.”

A coolant distribution unit, or CDU, manages the flow and temperature of liquid used to remove heat from high-density computing systems. The DSX Ready 2.3 MW model is part of Vertiv's liquid-to-liquid CDU portfolio, supporting direct-to-chip and rear-door heat exchanger applications and designed for installation at the end of a row or along the room perimeter.

Connecting AI factory design to qualified cooling products

AI factories are data centers designed to develop and operate AI models and applications at scale. As computing density and infrastructure scale increase, power, cooling, water, site and grid constraints increasingly influence what builders can deploy.

The NVIDIA DSX AI Factory Platform unifies AI factory design and operations across compute, networking, power, cooling, facilities and software. It helps partners design and operate the factory as one system to support AI output within available power, cooling, water and grid constraints.

NVIDIA DSX Ready connects specific products to applicable NVIDIA DSX requirements. For CDU providers, the program uses the NVIDIA CDU self-qualification suite to determine whether a specific offering meets applicable functional requirements.

Qualification does not replace the engineering required for a particular site or configuration, and customers must still determine how a qualified product will fit within their facility design, system configuration and operating requirements.

Planned acquisition expected to expand Vertiv’s leadership in next-generation thermal services for high-density and AI-driven environments into Europe, Middle East and Africa

Builds on Vertiv’s North American fluid management capabilities with European execution capacity and specialized load testing expertise

COLUMBUS, Ohio [September 24, 2026] – Vertiv Holdings Co (NYSE: VRT), a global leader in critical digital infrastructure, today announced that it has entered into an agreement to acquire King Environmental Services Ltd. (KES), a Europe-based provider of fluid management, commissioning and load-testing services for high-density, liquid-cooled data centers and other applications.

The acquisition is expected to expand Vertiv’s global thermal management services capabilities into Europe, Middle East and Africa (EMEA) and advance its strategy to support customers across the thermal chain. KES adds specialized fluid management, commissioning and load-testing capabilities spanning system preparation, performance validation, monitoring, maintenance and lifecycle optimization.

Vertiv announced an agreement to acquire King Environmental Services Ltd., expanding its global fluid management services into EMEA.

The transaction builds on Vertiv’s established North American fluid management presence, including its 2025 acquisition of PurgeRite, and represents the next step in expanding its global thermal and fluid management services platform. By combining KES’s regional field expertise and load-testing capabilities with Vertiv’s broader services portfolio, the company expects to provide more comprehensive support as customers deploy and operate complex AI and high-density infrastructure with greater reliability, efficiency and accountability.

“As computing density increases, the performance of cooling and power infrastructure will depend as much on execution in the field as on engineering and system design,” said Gio Albertazzi, CEO of Vertiv. “Our acquisition of PurgeRite, in December of 2025, established an important fluid management foundation in North America, and KES is expected to build on that foundation in EMEA. Together, these acquisitions advance our strategy to provide the specialized expertise and disciplined execution customers need as they deploy increasingly complex infrastructure at scale.”

That need for disciplined execution is particularly important as high-performance computing and AI workloads increase heat densities and accelerate the adoption of liquid cooling. In these systems, fluid quality is critical to uptime, thermal performance and equipment life. Contamination, trapped air, corrosion, improper chemistry and flow imbalances can reduce heat-transfer efficiency, contribute to equipment degradation and create commissioning and operational risks. Beyond initial commissioning, customers need lifecycle fluid management services to support system availability, thermal performance, equipment longevity and operational economics.

KES has built a strong reputation in Europe based on its technical specialization, experienced field teams, established operating infrastructure and safety culture. Its capabilities include fluid-system preparation, flushing, filtration, water treatment, commissioning and performance validation. KES also provides thermal load testing for liquid cooling infrastructure and electrical load testing for critical power systems.

Together, Vertiv and KES are expected to deliver significant customer benefits from an expanded set of capabilities designed to:

- Reduce operational complexity through a single accountable partner for commissioning, testing, fluid management and ongoing operations;

- Improve cooling system performance with clean, balanced and validated fluid systems that support optimal heat transfer and equipment efficiency;

- Maintain compliance with regional fluid handling, treatment and disposal requirements; and

- Increase confidence in infrastructure readiness through thermal load testing before facilities enter operation.

KES is headquartered near Dublin, Ireland, and serves customers across the EMEA region.

The transaction is expected to close in the fourth quarter of 2026. The financial terms were not disclosed and are not expected to be material to Vertiv's financial results.
