SAN FRANCISCO, Sept. 7, 2026 /PRNewswire/ -- Hagens Berman Sobol Shapiro LLP alerts investors in Cogent Communications Holdings (NASDAQ: CCOI) that a securities class action has been filed after questions arose about a key metric's indication about actual growth prospects. The lawsuit seeks to represent investors who purchased or otherwise acquired Cogent common stock between February 29, 2024 and May 1, 2026.

National shareholders rights firm Hagens Berman is investigating legal claims that Cogent and the other defendants violated the federal securities laws in connection with its disclosures about the importance of wavelength backlog convertible to recognizable revenues.

The firm encourages investors who suffered substantial losses to submit your losses now. Persons with knowledge who may be able to assist the investigation are invited to contact the firm's attorneys.

Cogent Communications Holdings (CCOI) Securities Class Action:

The lawsuit challenges the propriety of Cogent's disclosures about its optical wavelength "backlog," assurances that this metric was somehow an indicator of its expected growth and, by extension, its reasonably expected revenue growth and stock's value.

The complaint alleges that Cogent's wavelength backlog was an illusory touted measure and unlikely to ever convert to revenue, that large quantities of customers in the backlog were unable or unwilling to accept delivery even if Cogent was in a position to provision the wavelength in a timely manner and that, as a result, the company materially misrepresented customer demand for its optical wavelength services and the nature of its backlog.

Cracks in Cogent's early Class Period narrative began to emerge on February 27, 2025. That day, Cogent reported disappointing Q4 and FY 2024 financial results and revealed a 20% sequential decline in its backlog and that it removed 1500 orders because many were over one year old. Surprised, the market sent the price of the stock steeply lower.

Then, on May 8, 2025, the company reported disappointing Q1 2025 results and said it had more installation capacity than orders ready to be installed. Management said, "we built a funnel of wavelength opportunities with no defined installation window […] [a]nd as expected, the majority of that funnel fell out." The market's reaction was similar to February.

In apparent recognition that investors lost faith in the wavelength backlog story, the company abruptly ceased providing backlog data on February 20, 2026, when it reported Q4 and FY 2025 results. Again, the market sent the price of Cogent shares steeply lower.

Finally, on May 4, 2026, Cogent reported its Q1 2026 results that again disappointed on wavelength revenue and customer connections. Management conceded "[o]n wavelength installs, we have seen a variety of customers pushing out their acceptance[]" and "[w]e actually provisioned more wavelengths in the quarter than we did in the previous quarter, but the customers did not accept them."

"We're focused on whether Cogent and its management intentionally promoted wavelength backlog and funnel as a way to misrepresent both the company's actual ability to convert them to earned revenues and the real company-centric wavelength demand," said Reed Kathrein, the Hagens Berman partner leading the firm's investigation.

Wix.com (WIX) Faces Securities Class Action Amid Scrutiny Over Vibe Coding Transition, Competitive and Financial Positioning - Hagens Berman

SAN FRANCISCO, Sept. 7, 2026 /PRNewswire/ -- Wix.com Ltd. (NASDAQ: WIX) faces a securities class action in the wake of mid-May's massive 27% drop in the price of the company's shares after Wix announced its Q1 2026 financial results. Among the disappointments, operating expenses unexpectedly spiked 46% year-over-year leading to questions about the company's ability to defend its core business.

The case is Yappi v. Wix.com Ltd., et al., No. 26-cv-08852 (N.D. Ill.).

The lawsuit seeks to represent investors who purchased or otherwise acquired Wix securities between February 19, 2025 and May 12, 2026.

National shareholders rights firm Hagens Berman continues its investigation into claims that Wix violated the federal securities laws and urges Wix investors who suffered significant losses to contact the firm now to discuss their rights.

Wix.com Ltd. (WIX) Securities Class Action:

Global web development platform company Wix faces increasing competitive challenges posed by vibe coding, a software development trend where a person builds apps or websites by giving plain-language instructions to an AI rather than writing code line-by-line.

To confront this challenge, Wix positioned AI initiatives, Base44 and Harmony, as its two-pillar response to the vibe coding trend threatening the company's core business.

The company has provided numerous assurances to investors, including that "[w]e expect innovation-driven growth to be accompanied by high impact but disciplined investments to fully unlock the market opportunity ahead for both Wix and Base44." In addition, Wix has emphasized "[e]arly Wix Harmony performance is better than expected, with improved conversion and monetization[,]" and "[t]ogether, Wix Harmony and Base44 open up the world of what's possible on Wix[.]"

The complaint alleges that Wix made false and misleading statements while failing to disclose that, with respect to its AI product offerings, Wix overstated their competitiveness and performance, understated the costs associated with developing and promoting them and, accordingly, overstated their commercial and financial benefits.

Investors began to learn the truth on May 21, 2025, when Wix provided 2025 revenue guidance falling short of analyst expectation and fueling concerns about the company's competitiveness. Then, on November 19, 2025, Wix reported its Q3 2025 results indicating rising post-Base44-acquisition costs (AI compute and marketing) were having a material negative impact on its financial results. Each of these triggered sharp selloffs in the price of the stock and triggered analyst downgrades on concerns over core business growth deceleration, increasing costs, and competitive positioning.

Finally, on May 13, 2026, Wix revealed aggressive and front-loaded AI compute expenses for Harmony and Base44. More specifically, the rapid expansion of Base44 and Harmony rollout radically altered Wix's cost structure primarily through front-loading sales and marketing ("S&M") expenses. Collectively, the initiatives drove non-GAAP S&M expenses to $190.7 million, a year-over-year 88% increase that caused the company's non-GAAP operating margin to collapse from 21% during the prior year period to just 5% while sending its quarterly operating expenses up 46% from the prior year period.

During the earnings call that day, management acknowledged that professional development customers were using competing AI tools, the Harmony platform had "holes" and "missing capabilities," and there had been delays in delivering product updates and innovation to professional developer customers resulting in Wix falling behind their workflows and needs.

The market swiftly reacted that day, scalping over $1.1 billion from Wix's market capitalization and prompting analysts' surprise over the magnitude of the margin miss.

"We're investigating whether Wix may have intentionally understated the adverse effects of its AI initiatives on its operating results," said Reed Kathrein, the Hagens Berman partner leading the firm's investigation.

Hagens Berman Alerts Capricor Therapeutics, Inc. (NASDAQ: CAPR) Investors to FDA Review Extension for Deramiocel Amid Ongoing Securities Class Action and September 28 Lead Plaintiff Deadline

SAN FRANCISCO, Sept. 7, 2026 /PRNewswire/ -- Hagens Berman Sobol Shapiro LLP—a national plaintiffs' rights law firm with a premier securities practice group—notifies investors in Capricor Therapeutics, Inc. (NASDAQ: CAPR) of the upcoming September 28, 2026 lead plaintiff deadline in the ongoing securities class action. This alert follows the U.S. Food and Drug Administration's (FDA) recent decision to extend the review period for Capricor's Biologics License Application (BLA), underscoring the ongoing regulatory and disclosure scrutiny surrounding the company.

Hagens Berman encourages investors in Capricor Therapeutics, Inc. (NASDAQ: CAPR) who suffered substantial losses to submit your losses now.

FDA Extends BLA Review Following Post-AdCom Submissions

On Aug. 24, Capricor announced that the FDA has extended the Prescription Drug User Fee Act (PDUFA) target action date for Capricor's lead investigational cell therapy, deramiocel, for the treatment of Duchenne muscular dystrophy (DMD), moving the decision date from August 22, 2026, to November 22, 2026.

The agency classified Capricor's recent submission—which follows a turbulent July 2026 Advisory Committee meeting and includes 24-month open-label extension data from the Phase 3 HOPE-3 study alongside a request to pivot toward a refined indication focused solely on upper limb function—as a major amendment.

Core Allegations and Background

- Material Misleading Statements Regarding Clinical Trial Data and SAP Changes: The lawsuit alleges that Capricor and certain executives made materially false and misleading statements regarding the clinical trial data and regulatory pathway for its lead product candidate, Deramiocel, intended to treat Duchenne muscular dystrophy (DMD). Specifically, defendants allegedly failed to disclose that they adopted changes to the pre-specified statistical analysis plan (SAP) without agreement from the U.S. Food and Drug Administration (FDA) prior to resubmitting its Biologics License Application (BLA).

- The HOPE-3 Trial Breakthrough and Subsequent Capital Raise: On December 3, 2025 Capricor announced "Positive Topline Results from Pivotal Phase 3 HOPE-3 Study of Deramiocel in Duchenne Muscular Dystrophy." The company's CEO said "HOPE-3 delivered strong and definitive evidence that Deramiocel can meaningfully improve the course of Duchenne muscular dystrophy, demonstrating statistically significant improvements in both skeletal and cardiac function." Driven by these claims, Capricor's share price surged 370% to close up $23.60 on December 3, 2025. The following day, the company launched a public stock offering of approximately 6 million shares priced at $25 per share.

- FDA Briefing Document Reveals SAP Changes and Triggers 64% Stock Collapse: Capricor's public assurances unraveled on July 27, 2026, when the FDA published briefing documents ahead of an Advisory Committee meeting. The documents revealed that Capricor made unagreed-upon post-hoc modifications to its pre-specified Statistical Analysis Plan (SAP). The FDA stated that the HOPE-3 study "did not meet its pre-specified primary and secondary efficacy endpoints showing no statistically significant difference between deramiocel and placebo at 12 months." Capricor shares crashed roughly 64% in a single day to close at $7.00. An Advisory Committee subsequently voted 9–3 against the efficacy of the drug, compounding investor losses.

Hagens Berman's Investigation

"We're focused on investors' losses and uncovering the full scope of how management characterized these trial endpoints and undisclosed modification," said Reed Kathrein, the Hagens Berman partner leading the firm's investigation on the claims alleged in the pending suit.

What Affected CAPR Investors Should Do

If you purchased or acquired Capricor securities between December 17, 2025, and July 26, 2026, and suffered significant financial losses, you have until September 28, 2026, to ask the court to appoint you as lead plaintiff. You do not need to seek lead plaintiff status to share in any potential recovery.

SAN FRANCISCO, Sept. 7, 2026 /PRNewswire/ -- Hagens Berman Sobol Shapiro LLP alerts investors in Pentair plc (NYSE: PNR) that a securities fraud class action lawsuit filed against the company has been expanded to cover an earlier class period. Investors who suffered substantial losses are urged to submit their losses now.

CASE DETAILS

Expanded Class Period: March 11, 2025 – July 14, 2026 (Previously April 28, 2026 – July 14, 2026)

Lead Plaintiff Deadline: Oct. 2, 2026

ALLEGED MISCONDUCT & EXPANDED CLASS PERIOD

The new class action lawsuit alleges that beginning on March 11, 2025, Pentair plc and certain of its top executives made a series of materially false and misleading statements and omitted critical adverse operational information regarding Pentair's financial health, channel inventory, and internal controls.

Specifically, the lawsuit alleges Defendants failed to disclose that:

- Pentair was experiencing severe, undisclosed channel inventory destocking—particularly within its core Pool segment.

- The company engaged in unsustainable channel-loading and sales practices with distributors to artificially inflate short-term financial metrics.

- As a result, Pentair's positive statements regarding its business, full-year financial guidance, and operating income lacked a reasonable basis.

THE DISCLOSURE & MARKET REACTION

The complaint alleges that the artificial inflation in Pentair shares came to an abrupt end on July 14, 2026, after the market closed, when Pentair shocked investors by pre-announcing preliminary second-quarter 2026 financial results that fell substantially below consensus estimates.

The disclosures revealed severe operational headwinds:

- Massive Revenue Miss: Sales were expected to be approximately $930 million—a drastic miss against prior forecasts of $1.14 billion. The company disclosed that inventory destocking in the Pool channel negatively impacted Pool segment sales by approximately $170 million and income by approximately $105 million.

- Full-Year Guidance Slashed: Pentair dramatically cut its full-year 2026 outlook, reversing earlier projections. Full-year sales were projected to be down approximately 4% to 7%, compared to prior guidance of up 2% to 4% growth.

- Abrupt CFO Departure: Compounding the shock, Pentair announced the immediate departure of its Chief Financial Officer, Nicholas Brazis, after serving in the role for only four months, raising questions regarding internal controls and financial reporting.

Following these disclosures, Pentair's stock price plummeted 15% in a single session—losing $11.35 per share to close at $64.33 on unusually heavy trading volume on July 15, 2026.

"We are closely examining the timing of these disclosures, the sudden departure of the CFO after only four months, and the severe impact of channel destocking on Pentair's financial health," said Reed Kathrein, the Hagens Berman partner leading the firm's investigation of the alleged claims.

What Affected PNR Investors Should Do

If you purchased or acquired Pentair common stock between March 11, 2025, and July 14, 2026, and suffered significant financial losses, you have until October 2, 2026, to ask the court to appoint you as lead plaintiff.

DNOW INVESTOR DEADLINE: DNOW Inc. Investors with Substantial Losses Have Opportunity to Lead the DNOW Class Action Lawsuit Before October 2, 2026
Image File
Original HTML

SAN FRANCISCO, Sept. 7, 2026 /PRNewswire/ -- National shareholder rights law firm Hagens Berman encourages investors in DNOW Inc. (NYSE: DNOW) who suffered substantial losses submit your losses now. A securities class action lawsuit has been filed regarding potential violations of federal securities laws involving DNOW's acquisition of MRC Global Inc. and undisclosed enterprise software integration failures in the merger proxy materials.

- Lead Plaintiff Deadline: Oct. 2, 2026

- Defined Investor Class and Record Date: Shareholders who held DNOW common stock as of the August 5, 2025 record date and were thus entitled to vote at DNOW's September 9, 2025 special meeting on the merger of DNOW and MRC Global

Investors with significant losses are urged to contact the firm to review their options:

- Visit: www.hbsslaw.com/dnow

Allegedly Misleading Proxy Materials:

The suit alleges that the Proxy Materials misrepresented and omitted to disclose challenges posed with DNOW's merger with MRC Global Inc. as a result of material issues affecting MRC Global's new ERP system.

The Truth Allegedly Emerges

- November 5, 2025 — Reassurances Before Acquisition: The complaint alleges that on DNOW's Q3 2025 earnings call—the day before closing the merger—management assured investors that MRC Global had implemented a "state-of-the-art" Enterprise Resource Planning (ERP) system that promised "improved inventory management, order processing efficiency, and supply chain optimization." DNOW allegedly minimized integration risks, reassuring the market that MRC's past software glitches were merely an "isolated, one-time event."

- February 20, 2026 — The Disclosures: DNOW reported its Q4 and full-year 2025 financial results, revealing that MRC revenues had sharply declined due to "persistent ERP challenges" and acknowledging that MRC's software implementation was, in fact, an "obstacle."

- Operational Flaws & Guidance Delay: Management conceded that flawed software design architecture caused severe operational slowdowns, impeded customer service, and required substantial unexpected capital expenditure to remediate. Consequently, DNOW was forced to delay its sequential and full-year 2026 financial guidance.

- Market Impact: On this news, DNOW stock crashed 19% in a single trading session.

Statement from Hagens Berman Partner Reed Kathrein

"We are focused on whether the Proxy Materials downplayed ERP integration failures at MRC Global allowing management to push the deal through, as the complaint alleges," said Reed Kathrein, the Hagens Berman partner leading the firm's investigation of the claims in the pending suit.

What DNOW Investors & Whistleblowers Can Do

- DNOW Investors: If you purchased DNOW common stock and sustained significant losses, you may be eligible to take an active role in the class action. The court-appointed lead plaintiff deadline is October 2, 2026. Submit your loss details here.

- Whistleblowers: Persons with non-public information regarding DNOW should consider their options to help in the investigation or take advantage of the SEC Whistleblower program. Under the new program, whistleblowers who provide original information may receive rewards totaling up to 30 percent of any successful recovery made by the SEC.

September in Hamburg.

SAT-7 produziert u.a.

Last-Minute Gift Delivery (2026): Same-Day Ideas for Birthdays, Flowers, and Small Gifts by Expert Consumers

Last-Minute Gift Delivery (2026): Same-Day Ideas for Birthdays, Flowers, and Small Gifts by Expert Consumers

NEW YORK, Sept. 7, 2026 /PRNewswire/ -- Expert Consumers has published a new review of last-minute gift delivery options, highlighting DoorDash as a practical choice for birthdays, flowers, celebrations, and other occasions when traditional shipping no longer fits the timeline.

Last-Minute Gift Delivery:

- DoorDash - a local commerce platform offering same-day gift delivery from nearby florists, bakeries, grocery stores, beauty retailers, and other local businesses, with gifting features such as digital cards and personalized messages.

The review reflects a broader shift in on-demand delivery. Platforms once associated mainly with restaurant orders now connect consumers with a wider range of nearby products, giving last-minute shoppers another way to handle time-sensitive gifting without relying on multi-day shipping.

Why Is Local Delivery Useful for Last-Minute Gifts

Last-minute gifting often creates a fulfillment problem rather than a product-search problem. A suitable gift may be easy to find online, but standard shipping can make the purchase irrelevant if delivery falls after a birthday, celebration, milestone, or other occasion.

Expert Consumers notes that DoorDash uses a local-first model. Instead of starting with a nationwide product catalog and waiting for an item to move through a shipping network, shoppers can begin with the recipient's delivery address and see what nearby participating businesses already have available.

That distinction can matter when only a few hours remain. Local availability provides a clearer picture of products with a realistic chance of arriving the same day, whether the need is flowers, dessert, a small retail gift, or a simple care package. Product selection varies by address, making the recipient's location central to what can actually be ordered.

How Does DoorDash Same-Day Gift Delivery Work

After entering a delivery address, shoppers can browse participating florists, bakeries, grocery stores, beauty retailers, convenience stores, and other local merchants with available delivery windows. Eligible purchases can then be marked as gifts during checkout.

Gift orders may include recipient details, a digital card, and a personalized message. Scheduled delivery is also available from participating merchants, which can help when a birthday, anniversary, or another occasion is known earlier but delivery is still needed on a specific day. Order tracking provides additional visibility after checkout, particularly when a gift is expected before a dinner, celebration, or event.

Gifts may be delivered in as fast as 35 minutes*, although timing can be affected by store hours, distance, product availability, merchant preparation time, and local delivery demand.

*Delivery times vary by location. See app for estimate.

What Last-Minute Gifts Can Be Delivered Through DoorDash

Expert Consumers highlights several gift categories available through DoorDash that can work well when a birthday, celebration, or thoughtful gesture needs to come together quickly:

- Flowers and plants: Bouquets and arrangements can suit birthdays, anniversaries, congratulations, sympathy gestures, host gifts, and other occasions. All florists offer same-day flower delivery.

- Cakes and bakery treats: Cakes, cupcakes, cookies, pastries, chocolates, and other sweets can work for birthdays, office celebrations, milestones, and thank-you gifts.

- Beauty and self-care gifts: Skincare, cosmetics, bath products, candles, and similar items can work for birthdays, get-well gifts, or simple pick-me-ups.

- Snacks and comfort items: Coffee, candy, drinks, groceries, and favorite snacks can form an informal care package for friends, family members, coworkers, or students.

- Retail gifts: Depending on nearby stores, options may include electronics, clothing, sporting goods, craft supplies, and products connected to hobbies or everyday interests.

- DoorDash gift cards: A digital gift card can provide a flexible fallback when timing is especially tight or the recipient's preferences are difficult to predict.

The source review also shows how these categories can fit different last-minute situations. A birthday remembered around lunchtime may still leave time for flowers, cake, chocolates, or a small self-care gift. Someone recovering at home may appreciate soup, tea, snacks, flowers, or comfort items. Smaller occasions may call for cookies after a coworker's promotion, favorite snacks for a student finishing exams, flowers for a host, or a treat after an important milestone.

Why Can DoorDash Be a Strong Fit for Urgent Gifting

For consumers comparing last-minute gift delivery options, DoorDash brings nearby inventory, estimated delivery timing, gift messaging, scheduled delivery where available, and order tracking into one platform. The range also means that a last-minute gift does not have to follow a traditional format. The most practical option can depend on the occasion, recipient, and products available nearby.

For birthdays remembered late, flowers needed before dinner, congratulations, get-well gestures, or other small moments worth recognizing, Expert Consumers finds that DoorDash offers a practical way to turn locally available products into same-day gifts when traditional shipping is no longer an option.

From Saturday 19 September to Sunday 13 December 2026, the 18th Lyon Biennale – Contemporary Art invites audiences to discover a new artistic map of Lyon and its metropolitan area.

Entitled "Passer d'un rêve à l'autre / To pass from one dream to another", this 18th edition is under the artistic direction of Isabelle Bertolotti and curated by Catherine Nichols.

Inspired by Lyon's traboules — passageways that lead through courtyards and buildings, connecting one space to another — the Biennale explores the ways in which we can move from one mode of perception to another and, perhaps, from one collective dream to another.

Drawing on the history of Lyon as a city of trade, production, circulation and exchange, this edition examines the economies that organise our lives: the ways in which human and more-than-human beings acquire, transform, share and circulate the material and immaterial resources that enable them to live.

With 120 artists and 11 exhibition venues, this year's Biennale extends far beyond a traditional museum itinerary. Cultural institutions, heritage sites, former industrial spaces, public spaces and places of transit form a geography to be discovered across the city and metropolitan area:

- Les Grandes Locos

- Musée d'art contemporain de Lyon – macLYON

- Musée des Tissus et des Arts décoratifs

- Traboules des pentes de la Croix-Rousse

- Jardin du Musée des Beaux-Arts

- IAC – Institut d'art contemporain / Frac Rhône-Alpes

- Musée des Confluences

- Fondation Bullukian

- Parking LPA Saint-Antoine

- Metro Line B – Gare Part-Dieu station

- Cour des Loges, A Radisson Collection Hotel

Three venues form the principal anchors of this edition: Les Grandes Locos, macLYON and the Musée des Tissus et des Arts décoratifs.

At Les Grandes Locos, the industrial scale of the site resonates with questions of production, transformation, extraction and circulation. At macLYON, the exhibition explores more closely the conditions of existence, life and death, inheritance and debt. At the Musée des Tissus, the works examine forms of relationship, care and exchange.

Around these three major hubs, the Biennale spreads throughout the city, taking over artistic institutions, heritage sites and everyday spaces alike.

For nearly three months, the Biennale invites audiences to see Lyon differently.

Entering a museum, walking through a traboule, encountering an artwork in a former railway-industrial site, a garden, a car park or a metro station: the itinerary turns the city itself into one of the territories of the exhibition.

With this 18th edition, the Biennale de Lyon reaffirms more strongly than ever its mission: to make contemporary art an experience of encounter, circulation and sharing, open to everyone.

- IAC – Institut d'art contemporain / Frac Rhône-Alpes

- Musée des Confluences

- Fondation Bullukian

- Parking LPA Saint-Antoine
